Chief Legal Officer

This is a fully remote position, open to applicants in United States.

📋 Description

• Lead the legal and regulatory strategy for MEDvidi.

• Act as the primary legal advisor on prescribing frameworks, organizational structure, privacy issues, marketing, litigation, and workforce concerns.

• Manage the company's legal stance on telemedicine prescribing according to the Controlled Substances Act and the Ryan Haight Act.

• Monitor developments in DEA registration, rulemaking, and state PDMP and examination requirements.

• Handle agency inquiries or inspections.

• Provide guidance on scope-of-practice, supervision, and collaborative-practice requirements across all fifty states.

• Ensure clear licensing for new state markets and establish telehealth modalities and consent regulations.

• Prepare and negotiate management services agreements, IP licenses, equity restriction and succession arrangements, and intercompany agreements.

• Consult on corporate practice of medicine and fee-splitting limits.

• Structure agreements with clinicians, vendors, and partners in compliance with the Anti-Kickback Statute, EKRA, and Stark Law.

• Implement HIPAA Privacy, Security, and Breach Notification Rules across systems and vendor partnerships.

• Advise on state health privacy laws, business associate agreements, tracking technology, and data residency issues.

• Guide Marketing on advertising substantiation, endorsements, testimonials, unfair or deceptive practices, negative-option and auto-renewal provisions, TCPA compliance, medical-board advertising regulations, and HIPAA tracking limitations.

• Evaluate AI-enabled features in relation to Software as a Medical Device, clinical decision support, and general wellness frameworks.

• Provide counsel on AI governance within mental health care, addressing disclosure, crisis response, clinician oversight, HIPAA, Section 1557, FDA, FTC, and HHS guidelines.

• Develop litigation strategies, manage outside counsel and budgets, oversee litigation holds, and coordinate insurance tenders.

• Offer advice on clinician classification, multi-state employment compliance, separations, investigations, executive contracts, and equity agreements.

• Negotiate payer participation agreements and vendor contracts.

• Own the contract playbook and ensure billing and coding compliance.

• Support board and committee processes, maintain corporate entities and foreign qualifications, and keep the company prepared for due diligence.

• Build and enhance the legal function around this role.

⛳️ Requirements

• Juris Doctor (J.D.) and active good standing in at least one U.S. jurisdiction.

• Eligibility for in-house counsel designation or registered in-house counsel status in your state of residence.

• Over 12 years of combined experience in both law firm and in-house practice.

• Minimum of 5 years of experience advising healthcare providers, digital health companies, or health systems.

• Primary responsibility for controlled-substance regulatory advice, including Ryan Haight Act telemedicine exceptions and navigating the post-public-health-emergency landscape.

• Direct experience in drafting and negotiating management service organization (MSO) and friendly-PC structures.

• Capability to defend corporate structures against challenges related to the corporate practice of medicine or fee-splitting.

• Proficiency in applying HIPAA Privacy and Security Rules within real engineering and vendor environments.

• Knowledge of healthcare marketing and consumer protection laws, including FTC advertising standards, TCPA, state medical board regulations, and HIPAA marketing rules.

• Skill in structuring clinician and vendor compensation in accordance with the Anti-Kickback Statute and EKRA.

• Experience managing a government inquiry from initiation to resolution.

• Familiarity with multi-state employment law, including contractor classification under FLSA economic realities and state ABC tests.

• Proven track record of establishing policies, playbooks, or a legal function from the ground up.

• Preferred: Prior experience as General Counsel or Chief Legal Officer in a healthcare organization with 100–1,000 employees.

• Preferred: Experience in behavioral health, psychiatry, or treatment for substance use disorders, including knowledge of 42 C.F.R. Part 2 where applicable.

• Preferred: Government experience with the DEA, HHS OIG, a U.S. Attorney's Office, a state Attorney General's office, or a state medical or pharmacy board.

• Preferred: Experience with commercial payer contracting.

• Preferred: Background in defending healthcare privacy class-action lawsuits.

• Preferred: Knowledge of AI governance, including Software as a Medical Device, clinical-decision-support analysis, Section 1557 algorithmic nondiscrimination, and evolving state AI regulations.

• Preferred: Current understanding of DEA and HHS telemedicine controlled-substance-prescribing regulations and special registration criteria.

• Preferred: CIPP or CHC certification.
