CFO, Fractional

This is a fully remote position, open to applicants in United States.

📋 Description

• Design and implement the financial framework of the group across various jurisdictions.

• Create holding-company structures that span 2–4 jurisdictions within the EU and APAC regions.

• Identify the most suitable domiciles for operating companies, holdings, and investment platforms.

• Conduct reviews on the impact of BEPS, ATAD, and CRS, while producing transfer-pricing documentation.

• Align dividend, royalty, and interest distributions to ensure the desired effective tax rate for the group.

• Collaborate with external legal and tax advisors to develop compliant and cost-effective structures.

• Maintain an up-to-date map of entities, ownership, directorships, substance requirements, and filing schedules.

• Develop and preserve documentation for source-of-funds and source-of-wealth.

• Manage KYC and AML files across different jurisdictions, ensuring they are refreshed before regular reviews.

• Prepare financial components of due-diligence packages for investors, banking partners, and counterparties.

• Structure inter-company financing through equity, loans, and capital contributions, ensuring proper documentation is in place.

• Identify jurisdictional, sanctions, and sector risks in regulated wellness, telemedicine, and related fields.

• Establish and manage banking and EMI relationships, including the account opening process in new jurisdictions.

• Determine cash locations, currencies, signatories, and approval limits.

• Oversee FX exposure, liquidity, and runway across various entities and projects.

• Manage payment systems and payment authority approvals.

• Create a consistent rolling cash-flow projection for the founders.

• Introduce management accounting, FP&A, cost control, and payment workflows.

• Develop KPI dashboards and frameworks for unit economics related to operating expenses, marketing expenditures, payroll, and project costs.

• Set the reporting schedule and formats for founder updates.

• Establish policies and systems for procurement, marketing, licensing, and intellectual property contracts.

• Define approval thresholds, segregation of duties, and audit trails suitable for a small team.

• Report directly to the founders and collaborate with external legal and tax advisors.

• Work alongside the current Financial Manager, who has a dotted-line reporting relationship to the fractional CFO.

⛳️ Requirements

• Proven experience in designing multi-jurisdiction holding structures, ideally within both EU and APAC regions.

• Strong working knowledge of BEPS, ATAD, CRS, substance requirements, and transfer pricing.

• Demonstrated ability to align intra-group financial flows to achieve a target effective tax rate while complying with bank and investor review criteria.

• Experience establishing and maintaining banking and EMI relationships for cross-border groups, especially in sectors subject to greater scrutiny.

• Proficiency in source-of-funds and KYC/AML documentation from the applicant's perspective.

• Background in preparing financial due diligence documentation for investors or acquirers.

• Experience in building an FP&A and management reporting function from the ground up.

• Familiarity with unit economics and project-level P&Ls in early-stage or multi-project settings.

• Financial modeling skills sufficient to create and manage the models autonomously.

• Experience in a venture-building, family office, fund, or multi-entity group environment is highly advantageous.

• Ability to deliver senior-level output on a part-time and remote basis, without a supporting team.

• Attention to detail with documentation, approvals, and any financial transactions.

• Open communication with founders when a structure, expenditure, or timeline presents challenges.

• Comfortable with developing the initial version of a process.

• Preference for candidates located in the European time zone.

• Full-time availability is not a requirement.
