Associate General Counsel, Transactions

This is a fully remote position, open to applicants in United States.

📋 Description

• Lead the drafting and negotiation of agreements for critical business transactions that involve intricate intellectual property, technology, business, and regulatory matters.

• Create templates for agreements, establish negotiation standards, develop playbooks, processes, and risk management frameworks.

• Collaborate across departments to streamline the deal-making process from initial discussions to contract execution.

• Work together with legal experts to ensure that templates and legal positions remain up-to-date.

• Offer timely, practical, and commercially focused legal advice to business teams.

• Manage and prioritize a substantial volume of transactions in a fast-paced, deadline-oriented setting.

• Supervise the transactional work conducted by other attorneys, including task allocation, prioritization, and training.

• Act as a senior escalation point for intricate or high-value transactions, driving issues to resolution.

• Report directly to the Deputy General Counsel and Chief IP Counsel.

• Build and expand a transactions practice that supports development, partnerships, supply chain, commercial, and governmental engagements.

⛳️ Requirements

• Juris Doctor (J.D.) and admission in good standing with at least one U.S. state bar.

• Over 10 years of experience in negotiating complex commercial contracts, including substantial in-house experience at dynamic, mid- to large-sized companies.

• Extensive experience managing complex technology and commercial transactions within a sophisticated corporate or law firm setting.

• Strong transactional judgment in a high-pressure, sales-oriented business environment.

• Exceptional skills in relationship-building and client management.

• Strong business acumen and the capability to translate business goals into practical legal solutions.

• Proven ability to structure and enhance legal functions, workflows, and processes.

• Excellent organizational and prioritization capabilities.

• Outstanding communication, negotiation, and issue-spotting skills.

• Ability to balance urgency and commercial goals with sound legal judgment and risk management.

• Comfortable working with a high degree of autonomy and ambiguity.

• Solid understanding of intellectual property and trade & regulatory issues pertinent to a global business.
