Associate General Counsel, Corporate

This is a fully remote position, open to applicants in California.

📋 Description

• Lead and facilitate strategic transactions such as joint ventures, strategic investments, acquisitions, dispositions, spinouts, restructurings, and other intricate corporate dealings.

• Provide counsel to the General Counsel, executive team, and business leaders regarding corporate legal issues and strategic initiatives.

• Collaborate cross-functionally with finance, tax, accounting, human resources, and other teams to structure and implement strategic corporate initiatives.

• Offer advice on corporate finance and treasury topics, including equity and debt financing as well as other capital-related transactions.

• Work in partnership with the People team on matters related to employment, executive compensation, equity and token compensation, and employee-related issues.

• Support international operations and corporate structure, encompassing the formation and governance of subsidiaries and other entities.

• Draft, review, and negotiate transaction documents, corporate agreements, Board and stockholder materials, policies, and other legal documentation.

• Identify legal and business risks, devise practical solutions, and communicate recommendations to senior stakeholders.

• Oversee outside counsel and other external advisors.

• Enhance and refine corporate legal processes, policies, templates, and systems.

• Stay updated on legal and industry trends pertinent to Mysten Labs and the wider web3 ecosystem.

• Undertake additional legal and strategic projects as necessary.

• Report directly to the General Counsel.

⛳️ Requirements

• Over 8 years of relevant legal experience.

• Significant experience at a prestigious law firm and/or within the legal department of a rapidly growing technology company.

• Strong understanding of corporate law.

• Substantial experience in corporate governance and complex corporate transactions.

• Experience with a combination of M&A, joint ventures, strategic investments, corporate restructurings, financings, subsidiary governance, or other strategic corporate matters.

• Capability to independently lead complex matters and coordinate cross-functional stakeholders.

• Ability and willingness to function as a corporate generalist and cultivate expertise in new areas.

• Exceptional business judgment with the ability to evaluate and balance legal and business risks.

• Strong executive communication skills, capable of distilling complex issues into clear, actionable, and practical advice.

• Collaborative, solutions-oriented, and comfortable working across finance, tax, accounting, human resources, operations, and other functions.

• Self-motivated with a strong sense of ownership and urgency in a fast-paced, lean legal team.

• Unquestionable integrity and sound judgment.

• Interest in blockchain technology and a willingness to understand Mysten Labs’ business, technology, and ecosystem.

• J.D. from an accredited law school.

• Membership in at least one U.S. state bar.

• Eligibility to practice as in-house counsel in California.
