This is a fully remote position, open to applicants in California, +2 more states.
• Provide support to the Board of Directors and committees by preparing Board materials and resolutions.
• Maintain corporate documentation and supervise entity management for both domestic and international subsidiaries.
• Assist in the execution of governance practices and policies for public companies.
• Offer advice to leadership on corporate governance issues and fiduciary duties.
• Aid in the development of disclosure controls and procedures.
• Help prepare and review public company filings, such as Forms 10-K, 10-Q, and 8-K.
• Collaborate with external counsel regarding compliance with securities laws and regulatory issues.
• Keep abreast of changes in securities regulations and provide guidance to internal stakeholders.
• Support initiatives in corporate development, including acquisitions, investments, and strategic partnerships.
• Assist with the negotiation and documentation of transaction agreements.
• Oversee due diligence processes and post-transaction integration from a legal perspective.
• Offer legal advice on contracts with customers, partners, and vendors.
• Work alongside internal teams to identify and mitigate legal risks, including those related to employment.
• Develop and enhance contract templates, policies, and internal procedures.
• Support the implementation of internal compliance policies and training programs.
• Collaborate with cross-functional teams to ensure compliance with regulatory standards.
• Assist with enterprise risk management initiatives and conduct internal investigations as necessary.
• Liaise with outside counsel on corporate, securities, and transactional issues.
• Oversee legal budgets and ensure the effective use of external advisors.
• Juris Doctor (J.D.) degree from an accredited law school.
• Must be licensed to practice law in at least one U.S. jurisdiction.
• 8–12+ years of pertinent legal experience.
• Strong preference for corporate and securities law experience at a top law firm.
• In-house experience at a technology firm is preferred.
• Highly desirable to have experience supporting public companies or preparing for an IPO.
• Solid understanding of corporate governance, securities regulations, and commercial transactions.
• Practical and business-oriented legal advisor.
• Excellent communication skills with the ability to simplify legal complexities into clear business advice.
• Collaborative mindset working with Finance, Product, and Operations teams.
• Highly organized with strong judgment and attention to detail.
• Capability to handle multiple priorities in a fast-paced growth environment.
• Must have current authorization to work in the United States.
