Associate General Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Act as the main legal advisor for Sales and Customer Success teams.

• Lead the drafting, negotiation, and management of commercial agreements, which include Master Service Agreements, Order Forms, Change Orders, and Data Processing / Privacy Agreements.

• Create and uphold contract playbooks, standard positions, and fallback frameworks.

• Provide support and guidance on incoming vendor and partner agreements that involve sensitive data processing, AI subprocessors, or third-party integrations.

• Design and implement scalable legal processes, templates, and self-service resources.

• Oversee and manage the SpotDraft contract lifecycle management platform, including template administration, workflow automation, approval routing, and reporting.

• Develop and maintain internal legal guides, FAQs, and training materials.

• Monitor and report on the contract pipeline and essential legal metrics.

• Collaborate with Product, Engineering, and Regulatory Affairs on AI governance, privacy compliance, and contractual frameworks that oversee AI usage.

• Keep abreast of legal and regulatory changes in AI and healthcare data, including HIPAA and new AI frameworks.

• Address and resolve legal issues across Sales, Customer Success, Product, Engineering, Marketing, Finance, and People Operations.

• Enhance Legal's credibility and visibility through proactive communication and legal education.

⛳️ Requirements

• Juris Doctor (J.D.) from an ABA-accredited law school.

• Active bar membership in good standing in at least one U.S. jurisdiction.

• 4–8 years of transactional legal experience with a significant focus on commercial contracting.

• Experience gained in-house, at a law firm, or a combination of both.

• Proven experience in building or significantly enhancing legal operations infrastructure.

• Background in implementing or significantly improving a Contract Lifecycle Management (CLM) platform.

• Familiarity with developing contract playbooks.

• Experience in designing scalable legal workflows.

• Working knowledge of privacy law and healthcare data frameworks, including HIPAA.

• Expertise in negotiating complex enterprise agreements, including multi-party deals and contracts involving data processing or AI-driven services.

• Practical, business-minded approach to legal risk.

• Ability to navigate ambiguity, fast pace, and shifting priorities in a high-growth technology environment.
