This is a fully remote position, open to applicants in Illinois.
• Offer guidance, consultation, direction, and support on a wide array of legal issues.
• Recognize key legal challenges and operational concerns, providing innovative solutions or enhancements.
• Draft, review, and negotiate agreements related to client retention, vendors, technology, professional services, licensing, confidentiality, and other commercial matters.
• Counsel business leaders on contractual, regulatory, operational, and reputational risks.
• Independently manage contract matters from initial intake through to execution.
• Assist in the oversight of litigation matters, which includes coordinating with outside counsel, strategy, budgets, deadlines, risk assessments, and status updates.
• Support corporate governance and entity management functions, covering annual reports, state filings, foreign qualifications, registered-agent issues, corporate records, board consents, and meeting minutes.
• Collaborate with compliance, information security, technology, procurement, finance, and operations teams.
• Create and manage templates, clause libraries, negotiation playbooks, and approval workflows.
• Facilitate contract lifecycle management and other legal operations initiatives.
• Carry out additional related responsibilities as assigned.
• Juris Doctor (J.D.) from an accredited law school.
• Active membership in good standing in at least one U.S. jurisdiction.
• Approximately 5 to 10 years of pertinent legal experience.
• Significant responsibility in commercial contracting.
• Experience in managing litigation and outside counsel.
• Background in supporting corporate governance, entity management, or corporate secretary functions.
• Strong skills in drafting, negotiation, analysis, and communication.
• Capability to manage competing priorities, make sound judgments, and work independently.
• Practical, business-oriented approach to identifying and mitigating risk.
• Familiarity with contract lifecycle management systems; experience with Ironclad is highly preferred.
• Preferred experience in legal operations, process improvement, and contract workflow design.
• Ability to sit or stand for prolonged periods.
• Capacity to maintain focus for extended durations.
• Willingness to work extra hours to achieve objectives.
• Competence in using computers for a significant part of the day.
• Ability to travel domestically, if required.
