Associate General Counsel

This is a fully remote position, open to applicants in California, +7 more states.

📋 Description

• Oversee Givebutter's internal legal operations, focusing on corporate governance, intellectual property, risk management, and employment matters.

• Take charge of corporate and board governance, including the preparation of board minutes, resolutions, entity management, equity issues, annual filings, and regulatory submissions.

• Provide guidance to executive leadership and the Board of Directors regarding governance practices and fiduciary responsibilities.

• Manage and safeguard trademarks, copyrights, and trade secrets.

• Direct the intellectual property strategy and provide counsel on product development and marketing considerations related to IP.

• Protect Givebutter's intellectual property rights against violations.

• Oversee the insurance program, which includes D&O, cyber liability, E&O, and general liability coverage.

• Manage renewals, evaluate coverage adequacy, handle claims, and strategize risk transfer.

• Lead the internal AI governance framework and uphold responsible AI policies.

• Monitor developments in AI law and ensure the ethical adoption of AI tools within legal frameworks.

• Counsel the People team on employment law, recruitment, compensation, benefits, employee relations, investigations, performance management, separations, and related policies.

• Draft and review employment contracts, offer letters, separation documents, and associated materials.

• Stay informed on nonprofit law, charitable solicitation regulations, and state-specific fundraising platform requirements.

• Collaborate on regulatory filings, licensing, and compliance issues.

• Evaluate and mitigate enterprise legal risks associated with business decisions, mergers and acquisitions, and strategic initiatives.

• Selectively engage and oversee outside counsel within budget and scope.

• Lead or assist in dispute resolution, corporate transactions, and special legal projects.

• Manage and mentor the Commercial & Product Counsel.

• Develop scalable legal processes, policies, playbooks, templates, and internal knowledge resources.

• Leverage AI-enabled tools to enhance legal research, workflow efficiency, and knowledge management.

• Bring legal operations in-house and establish criteria for engaging external counsel.

⛳️ Requirements

• Juris Doctor (J.D.) from an accredited law school.

• Active bar membership in good standing in your state of residence and/or California, New York, or Texas.

• 8–12 years of legal experience.

• A significant blend of training from a top-tier law firm and in-house experience at a technology or fintech organization.

• Proficiency in corporate governance, intellectual property management, and employment law.

• Capability to advise senior leadership and boards with clarity, confidence, and sound judgment.

• Experience in managing commercial insurance programs and providing advice on enterprise risk.

• Familiarity with varying state regulations and the ability to translate them into actionable business guidance and compliance processes.

• Proficient use of AI tools in a professional setting and well-informed opinions on responsible application.

• Exceptional written and verbal communication skills.

• Ability to work autonomously with a high degree of independence in a dynamic, fast-paced environment.
