Associate General Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Lead commercial and federal contracting initiatives for AppGate.

• Assist the General Counsel with corporate matters, encompassing data privacy, employment law, compliance, and entity management.

• Oversee the entire contract lifecycle management for agreements with commercial and federal customers, vendors, and channel partners.

• Collaborate with various departments to efficiently structure and finalize deals.

• Maintain and enhance template agreements, contract playbooks, negotiation processes, and sales documentation.

• Review, draft, and negotiate technology transactions with clients and suppliers, including SaaS, software licenses, vendor procurement contracts, channel partner agreements, teaming agreements, and NDAs.

• Support federal and government contracting issues, including FAR/DFARS compliance, GSA schedule contracts, commercial item determinations, intellectual property concerns in government contracts, and government flow-downs.

• Provide and coordinate contract and commercial guidance to business teams.

• Ensure that commercial documentation and processes align with current laws, client requirements, and industry best practices.

• Offer advice on data privacy compliance, such as GDPR, UK GDPR, and CCPA, as well as the use of customer data.

• Assist with employment law issues across U.S. and international jurisdictions, including hiring, onboarding, terminations, employment-related claims, and policy compliance.

• Support general corporate compliance activities.

• Manage entity governance and management activities, including entities established in foreign jurisdictions.

• Address intellectual property concerns.

• Provide counsel and direction on corporate governance matters.

⛳️ Requirements

• Juris Doctor (JD) from an accredited U.S. law school; must be a member in good standing with a state bar.

• Over 8 years of relevant experience, ideally with a combination of law firm and in-house experience.

• Strong expertise in commercial technology contracting, including SaaS, licensing, and channel partner agreements.

• Ability to prioritize competing demands and work autonomously in a fast-paced setting.

• Excellent negotiation, communication, and presentation skills.

• Experience in federal government contracting, including FAR/DFARS and GSA schedules (preferred).

• Familiarity with data privacy, employment law, and general corporate compliance (preferred).

• Experience collaborating with global and international teams and jurisdictions (preferred).
