Assistant General Counsel – Healthcare Generalist Attorney, Medicaid, Medicare, M&A

This is a fully remote position, open to applicants in Pennsylvania.

📋 Description

• Oversee and provide guidance to the Company regarding federal and state Medicare and Medicaid laws, regulations, policies, and relevant developments, including litigation.

• Conduct legal evaluations of healthcare-related case law and policies, assessing their potential effects on client programs, policies, and operational strategies.

• Identify associated risks and foster relationships with external legal advisors on issues related to healthcare finance and policy.

• Offer comprehensive legal guidance on corporate governance, compliance, and general business issues.

• Recognize legal risks and deliver practical, business-focused advice to management and internal stakeholders.

• Counsel and represent the Company in negotiations involving state/local government and commercial contracts.

• Review, prepare, edit, and examine contracts, procurement documents, proposals, and various legal papers.

• Draft Business Associate Agreements (BAAs), Data Use Agreements, and similar legal documents.

• Assist throughout all stages of M&A activities, including due diligence, deal documentation, external counsel management, and integration.

• Support marketing initiatives by evaluating external materials for legal compliance and accuracy.

• Aid in internal team projects, risk mitigation strategies, and the oversight and management of external counsel engagements.

⛳️ Requirements

• Juris Doctor degree from an ABA-accredited institution.

• Must be in good standing and admitted to practice in at least one U.S. jurisdiction.

• Should be in good standing or able to gain admission as corporate counsel within one year to the Pennsylvania Bar.

• 5 to 7 years of relevant professional legal experience.

• Extensive generalist experience in corporate and commercial matters.

• Significant experience in healthcare-related legal issues, including Medicaid, Medicare, managed care, or provider/health system matters.

• Understanding of common law and state and federal laws pertinent to Company operations, particularly Medicare and Medicaid.

• Proficient in the principles, methods, materials, and practices of legal research.

• Capability to conduct legal research and interpret, analyze, and organize facts, evidence, and precedents.

• Proficient in interpreting and drafting contracts and other legal instruments.

• Familiarity with contract management systems and compliance tools is preferred.

• Exceptional verbal and written communication abilities.

• Strong interpersonal and customer service skills.

• Excellent organizational skills and attention to detail.

• Proven time management skills with the ability to meet deadlines.
