Assistant General Counsel, Corporate

This is a fully remote position, open to applicants in United States.

📋 Description

• Oversee SEC reporting activities

• Lead corporate governance initiatives

• Assist in operations for public companies

• Take charge of quarterly and annual SEC filing processes

• Act as the main author for proxy statements and associated disclosures

• Supervise Section 16 reporting

• Organize materials for proxy and shareholder meetings

• Provide support to the Board of Directors and its committees

• Draft legal memos and prepare board materials

• Handle insider trading compliance and manage equity programs

• Convert complex legal requirements into actionable guidance for executive leadership

• Collaborate with the senior Corporate Legal team and the Deputy General Counsel

⛳️ Requirements

• 10–15 years of specialized legal experience in public company securities, SEC disclosures, and corporate governance

• Practical experience in drafting SEC filings and supporting board activities

• Excellent written communication skills

• Strong independent judgment

• Capability to handle multiple high-pressure workstreams

• Background in technology, fintech, or payments is advantageous
