This is a fully remote position, open to applicants in United States.
• Act as a reliable adviser on corporate legal issues, including corporate governance, reporting directly to the General Counsel & Corporate Secretary.
• Oversee and assist with corporate governance, Board and Committee documentation, corporate records, entity management, disclosure materials, and regulatory affairs.
• Manage organizational documents, approvals, resolutions, subsidiary records, and governance-related materials.
• Provide counsel on corporate financing matters, debt-related reporting obligations, transaction documentation, and corporate approvals.
• Lead and facilitate mergers and acquisitions, financing, liquidity events, and strategic transactions from structuring and due diligence to post-closing integration.
• Manage and support intricate commercial transactions with strategic partners and key counterparties.
• Assist with ESG-related legal and disclosure matters and contribute to the development of GHX’s ESG program.
• Draft, negotiate, and interpret NDAs, LOIs, and various corporate agreements.
• Support the management of subsidiary corporate affiliates.
• Provide guidance on labor and employment issues and litigation matters, oversee legal workstreams, and manage outside counsel.
• Administer GHX’s insurance portfolio, including renewals, coverage analysis, claims assistance, and coordination with brokers and insurers.
• Collaborate with outside counsel on corporate, transactional, labor and employment, litigation, and other legal issues.
• Assist the General Counsel & Corporate Secretary with risk management, corporate development, and strategic initiatives.
• Offer legal support for ad hoc projects from departments such as Treasury and Accounting.
• Travel quarterly, up to 20% annually.
• J.D. is required.
• Admission to, and in good standing with, any state bar in the United States.
• Minimum of 7 years of legal experience, with significant expertise in corporate governance and corporate transactions.
• Outstanding analytical, interpersonal, and presentation capabilities.
• Proficient written and verbal communication skills with all levels of the organization, including senior management.
• Flexible and adaptable approach to diverse legal inquiries and concerns.
• Collaborative, high-integrity, and low-ego problem-solving style.
• Ability to work independently, take initiative, and function with the appropriate degree of autonomy.
• Strong organizational skills, self-motivation, and capacity to work under time constraints and deadlines.
• Capability to manage and prioritize requests while enhancing complex business and legal processes in a fast-paced setting.
• Excellent academic qualifications.
• Preferred: Experience with private equity-backed companies, in-house corporate legal departments, mergers and acquisitions, financing, strategic transactions, labor and employment, litigation, intellectual property, marketing and advertising, technology issues, SaaS businesses, and executive compensation.
