Assistant General Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Draft, review, and negotiate intricate commercial, software licensing, SaaS, and services agreements within the healthcare, healthcare information technology, and HIT medical device sectors.

• Oversee complex technology transactions from initiation to completion.

• Aid in the oversight and enhancement of contract management policies and procedures.

• Ensure adherence to procurement and contracting policies and procedures.

• Partner with the Contracts Manager to offer guidance and training to business teams.

• Collaborate with the Privacy Officer and Legal Department regarding HIPAA privacy, HIPAA security, and other compliance obligations.

• Build relationships with business teams to promptly and efficiently address legal support requirements.

• Work alongside business teams to facilitate the closure of transactions.

• Manage and assist with transactional, corporate, compliance, and other matters as necessary.

• Report directly to the Chief Legal Officer and collaborate with fellow attorneys.

⛳️ Requirements

• J.D. from an accredited U.S. law school (or equivalent).

• Demonstrated high level of academic achievement.

• Licensed to practice law in one or more U.S. jurisdictions.

• A minimum of 10 years of experience in a law firm and/or corporate legal department.

• Prior in-house legal experience is preferred.

• Proven experience in drafting and negotiating complex agreements in healthcare, healthcare IT, and/or life sciences settings.

• Strong understanding of technology and HIPAA privacy and security regulations.

• Experience with healthcare information technology (HIT) transactions.

• HIT medical device experience is an advantage.

• Exceptional attention to detail, organizational capabilities, and judgment.

• Ability to independently manage multiple tasks in a fast-paced environment and respond swiftly and efficiently to business needs.

• Outstanding verbal and written communication skills.

• Capacity to think strategically, engage effectively with in-house clients, and deliver well-organized, thoughtful presentations.
