Assistant General Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Create, review, and negotiate intricate commercial, software licensing, SaaS, and service agreements.

• Oversee complex technology transactions from initiation to completion.

• Aid in the enhancement and management of contract policies and procedures.

• Ensure adherence to procurement and contracting policies and practices.

• Work alongside the Contracts Manager to offer guidance and training to business teams.

• Partner with the Privacy Officer and Legal Department on HIPAA privacy, HIPAA security, and other compliance obligations.

• Build relationships with business teams to effectively address legal support requirements.

• Collaborate with business teams to facilitate transaction closures.

• Manage and support transactional, corporate, compliance, and other legal matters as required.

• Report directly to the Chief Legal Officer and work in conjunction with other attorneys.

⛳️ Requirements

• Juris Doctor (J.D.) from an accredited U.S. law school (or equivalent).

• High level of academic achievement.

• Licensed to practice law in one or more U.S. states.

• Minimum of 10 years of experience in a law firm and/or corporate legal department.

• Previous in-house legal experience is preferred.

• Proven experience in drafting and negotiating complex commercial, software licensing, SaaS, and service agreements.

• Background in healthcare, healthcare IT, and/or life sciences sectors.

• Strong understanding of technology and HIPAA privacy and security standards.

• Familiarity with healthcare information technology (HIT) transactions.

• Experience with HIT medical devices is a plus.

• Outstanding attention to detail, organizational skills, and judgment.

• Capability to independently manage multiple tasks in a dynamic environment.

• Excellent verbal and written communication skills.

• Ability to think strategically, engage with in-house clients, and deliver organized, thoughtful presentations.
