This is a fully remote position, open to applicants in Missouri.
• Act as the assistant corporate secretary for the publicly traded company and its regulated and unregulated subsidiaries.
• Arrange board and committee meetings, creating agendas, minutes, and resolutions, while ensuring corporate records are maintained.
• Assist in board governance activities, including the onboarding of directors, meeting preparation, compliance with listing standards, regulatory obligations, and governance best practices.
• Provide counsel on public company securities law issues, SEC compliance, filings, disclosure responsibilities, and related policies.
• Draft, review, and submit Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and other SEC documents.
• Offer guidance on earnings announcements and communications with shareholders.
• Support financing initiatives and other capital projects from their inception through to ongoing compliance.
• Collaborate with board members, auditors, regulators, external legal counsel, and internal stakeholders.
• Deliver legal advice and support on complex, unique, or challenging issues, along with risk mitigation strategies.
• Oversee legal research and analysis efforts.
• Provide legal assistance for sustainability initiatives and their reporting requirements.
• Mentor and guide the professional development of team members.
• Lead or assist in cross-functional securities and corporate governance projects.
• Manage additional legal and management tasks and projects as assigned.
• Juris Doctor (JD) degree from an accredited law school.
• Bachelor’s degree in Arts or Sciences (BA/BS) from an accredited university or college.
• A minimum of 12 years of experience as an attorney within a law firm or corporate legal environment.
• Proven experience in advising public companies on corporate governance, securities law compliance, and SEC reporting.
• Educational background or experience in business, finance, or accounting.
• Familiarity with business, finance, or accounting concepts, terminology, and practices.
• Must be licensed to practice law in the relevant jurisdiction.
• Extensive legal expertise with significant specialized knowledge of the applicable laws and regulations.
• Capability to manage attorneys and other legal professionals, or the willingness to develop those management skills.
• In-depth experience with securities law and corporate governance terminology and practices.
• Strong business and financial acumen.
• Highly developed client counseling, service, interpersonal, drafting, review, proofreading, negotiation, persuasion, and both oral and written communication abilities.
• Competence in clearly presenting business terminology and concepts.
• Highly organized and results-driven, with a keen attention to detail.
• Proven time management skills and a commitment to meeting deadlines.
• Ability to set objectives, multitask, and prioritize workload effectively.
