
VP – Managing General Counsel, Corporate, Debt and Equity

This is a fully remote position, open to applicants in United States.
• Act as the primary legal corporate advisor and strategic partner for the business.
• Provide guidance on corporate structure, entity management, board governance, mergers and acquisitions, as well as strategic liquidity transactions.
• Supervise corporate attorneys and paralegals.
• Work collaboratively with compliance colleagues and business clients to identify and address legal and corporate issues.
• Counsel on federal and state corporate laws and SEC regulations.
• Draft and review contracts, agreements, corporate filings, and other legal documents.
• Offer advice regarding proposed agreements, transactions, and corporate law matters.
• Support business, legal, and compliance teams on corporate issues and transactions.
• Serve as the lead legal advisor for Practice corporate transactions.
• Oversee the drafting, negotiation, and issuance of equity grants.
• Provide legal counsel and support concerning tax matters.
• Coordinate legal matters with external counsel.
• Advise on corporate policies and procedures.
• Develop and enhance legal playbooks and training materials.
• Foster communication and collaboration among team members.
• Manage the performance of direct reports through coaching, counseling, career development, and disciplinary measures.
• Juris Doctor (J.D.) degree from an ABA accredited law school.
• Licensed to practice law and in good standing with a state bar association.
• Over 8 years of corporate and transactional legal experience, particularly in large M&A and IPO, gained in a law firm and/or in-house environment.
• Preferred experience in the healthcare sector and with large M&A and IPO, both in private practice and in-house.
• Experience with multi-site healthcare provider organizations is preferred.
• Exceptional oral and written communication skills.
• Strong organizational abilities and meticulous attention to detail.
• Capability to multitask and effectively prioritize work responsibilities.
• Ability to handle and maintain confidential information.
• Excellent interpersonal skills.
• Strategic thinking skills to provide practical advice while being mindful of legal risks in a business context.
• Proficiency in MS Word, PowerPoint, Outlook, and Excel at an intermediate level is required.
• Willingness to travel up to 25% of the time.
