This is a fully remote position, open to applicants in United States.
• Take charge of the entire lifecycle of commercial contracts with healthcare systems and various partners, encompassing drafting, reviewing, negotiating, and finalizing agreements.
• Act as the final legal reviewer for non-standard and high-risk terms within your approval authority.
• Manage vendor contracts and third-party relationships, which include SaaS agreements, service contracts, licensing agreements, data processing agreements, and procurement-related contracts.
• Define the vendor review process in collaboration with finance, security, and compliance, establishing operational, regulatory, and information security standards for third parties.
• Develop and maintain contracting playbooks, templates, clause libraries, and standardized negotiation positions.
• Oversee the existing contract portfolio, including amendments, renewals, and inquiries from partners and vendors.
• Create an obligation-tracking process to ensure commitments are transparent and fulfilled.
• Provide guidance to senior business leaders regarding healthcare regulatory risks, including the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties, and state licensure requirements.
• Suggest deal structures in alignment with changes in service lines and Medicare reimbursement frameworks.
• Mentor sales, partnerships, and procurement teams regarding contract risks and the utilization of playbooks.
• Establish escalation paths to determine when a deal necessitates legal review.
• Collaborate effectively with sales, partnerships, clinical, finance, security, compliance, and operations teams.
• A minimum of 8 years of experience managing commercial contracts either in-house or at a law firm, with a strong preference for experience in the healthcare or life sciences sectors.
• Proficient understanding of federal and state healthcare regulations, including the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties Law, and clinical licensure and scope-of-practice requirements.
• Proven experience in developing or enhancing contracting processes, including playbooks, clause libraries, or template suites that support a growing organization.
• Juris Doctor (JD) from an accredited law school and active bar membership in at least one U.S. jurisdiction.
• A commercial attorney with healthcare experience who excels in fast-paced, mission-driven environments and is confident in overseeing the contracting function with minimal supervision.
• Proficient in using AI research and productivity tools, with the ability to critically assess AI-generated insights.
• Experience on both the sell-side and buy-side is preferred.
• Familiarity with HIPAA and privacy law is advantageous.
• Experience in contracting with payers is a plus.
