Vice President, General Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Act as the legal advisor to the CEO, executive leadership team, and Board of Directors.

• Formulate and implement the company's legal strategy in alignment with business goals and growth objectives.

• Provide proactive legal counsel on regulatory, corporate governance, employment, commercial, and operational issues.

• Collaborate with leadership on mergers, acquisitions, strategic partnerships, and other corporate transactions.

• Participate in organizational strategy and decision-making as a member of the executive leadership team.

• Lead the negotiation, drafting, and review of agreements with customers, vendors, resellers, referrals, technology partners, and strategic alliances.

• Advise sales, marketing, finance, product, security, and operations teams on contractual and legal concerns.

• Develop scalable contract templates, approval workflows, and legal playbooks.

• Support government, healthcare, enterprise, and international commercial transactions.

• Provide guidance on software licensing, SaaS, cloud services, AI-related commercial terms, and technology partnerships.

• Oversee executive compliance for privacy, data governance, and cybersecurity legal programs.

• Counsel on HIPAA, sector-specific and state privacy laws, international data transfer requirements, Data Privacy Framework obligations, and emerging privacy regulations.

• Advise on artificial intelligence governance, responsible AI practices, AI-enabled products, and AI-related contractual obligations.

• Collaborate with Security, Product, and Engineering teams to assess privacy and security risks associated with new products, services, and vendors.

• Lead the legal evaluation of data use practices, AI applications, and regulatory changes affecting the business.

• Design, implement, and manage enterprise compliance programs.

• Ensure adherence to laws and regulations relevant to healthcare, telecommunications, technology, privacy, and information security operations.

• Manage corporate governance, subsidiary oversight, and regulatory filings.

• Oversee investigations, dispute resolution, and responses to government inquiries.

• Supervise the legal aspects of incident response, regulatory issues, and risk assessment activities.

• Handle the protection and management of trademarks, patents, intellectual property assets, and licensing matters.

• Advise on open-source software compliance, software licensing, and technology-related legal risks.

• Support product development across all stages of the product lifecycle.

• Partner with engineering and product teams to evaluate the legal implications of emerging technologies and AI-enabled offerings.

• Assist with organizational growth initiatives, international operations, and business expansion efforts.

• Manage outside counsel and legal service providers while keeping legal expenses in check.

• Lead, manage, and develop the existing three-person legal team.

• Recommend the expansion of the legal team to meet increasing business demands.

• Advocate for the responsible use of artificial intelligence within the legal function.

• Drive ongoing improvements through automation, data, and AI to enhance the legal function while maintaining legal judgment and professional responsibility.

⛳️ Requirements

• Juris Doctor (J.D.) from an ABA-accredited law school.

• Active membership in good standing with at least one U.S. state bar.

• Over 15 years of progressive legal experience with substantial responsibility advising technology-driven businesses.

• At least 5 years of in-house counsel experience managing complex corporate, commercial, software technology, data privacy, and healthcare legal and regulatory matters.

• Minimum of 5 years of in-house counsel experience leading a legal team within a software technology company, preferably SaaS.

• Proven experience directly leading, developing, and holding accountable an in-house legal team, including senior attorneys and paralegals.

• Demonstrated experience in leading legal strategy and advising executive leadership teams.

• Extensive experience in drafting, negotiating, and managing complex commercial and technology agreements.

• Significant expertise in data privacy, cybersecurity, information governance, and regulatory compliance, including HIPAA and U.S. privacy laws.

• Proven experience advising organizations on artificial intelligence (AI) governance, AI-related legal risks, emerging AI regulations, and responsible AI practices.

• Demonstrated experience utilizing technology, automation, and artificial intelligence to enhance legal service delivery, operational efficiency, and risk management within a corporate legal department or law firm setting.

• Experience supporting mergers, acquisitions, strategic partnerships, and other corporate transactions.

• Strong understanding of intellectual property, software licensing, and technology law.

• Excellent leadership, communication, negotiation, and decision-making abilities.

• Preferred: Certified Information Privacy Professional (CIPP), CIPM, or similar privacy certification.

• Preferred: 2+ years working in a large law firm.

• Preferred: Experience overseeing compliance programs across multiple jurisdictions.

• Preferred: Experience advising private-equity-backed organizations and navigating rapid growth environments.

• Preferred: Experience supporting international business operations and cross-border data transfers.

• Preferred: Proven track record of building and mentoring in-house legal teams.
