Tax Director, Physician Management Service Organizations

This is a fully remote position, open to applicants in New Jersey, +2 more states.

📋 Description

• Oversee US income tax planning for Cencora’s Management Services Organizations and M&A activities.

• Provide guidance to Cencora MSO management teams on tax-related issues.

• Manage Tax Managers involved in MSO and Mergers & Acquisitions.

• Collaborate with stakeholders to enhance effective tax rates, cash taxes, and tax implications of acquisitions and dispositions.

• Perform tax law research and draft tax opinions and memoranda.

• Prepare and evaluate tax basis studies and analyses.

• Maintain capital accounts and tax basis computations for Cencora partnerships and partners.

• Lead tax due diligence efforts for acquisitions, dispositions, MSO mergers, and acquisitions.

• Design tax-efficient frameworks for acquisitions, dispositions, and partnerships.

• Review acquisition and disposition agreement drafts with legal counsel and tax advisors.

• Coordinate with internal and external tax experts on state, local, property, and partnership taxation, along with ASC 740 matters.

• Prepare or oversee regular PowerPoint status updates and transaction templates.

• Collaborate with internal tax compliance and tax provision specialists.

• Engage in designated Cencora tax projects.


⛳️ Requirements

• Bachelor’s degree from an accredited institution.

• CPA certification.

• Juris Doctor degree from an accredited law school.

• A minimum of 5 to 10 years of experience, with significant experience in partnership taxation at a major law firm or Big 4 accounting firm.

• Extensive knowledge of the US Internal Revenue Code, particularly in Subchapter K and US Treasury Regulations pertaining to partnerships and LLCs.

• Strong proficiency in all facets of partnership taxation.

• Considerable experience in conducting thorough tax law research and evaluating partnership tax issues.

• Experience in structuring partnerships, LLCs, and joint ventures for tax efficiency, encompassing formation, reorganization, and dissolution strategies.

• Strong understanding of partnership tax reporting and compliance, including the reporting of income, deductions, and credits to partners and tax basis calculations.

• Significant experience in tax due diligence for mergers and acquisitions.

• Excellent oral and written communication skills.

• Strong interpersonal and collaborative abilities.

• Exceptional organizational skills and attention to detail.

• Proficient in Microsoft Office Suite, including Word, Excel, and PowerPoint.
