Senior Vice President, Corporate Development, M&A, Strategy – Renewable Energy

πŸ“‹ Description

β€’ Oversee the corporate growth strategy of the company, focusing on mergers and acquisitions, capital planning, strategic partnerships, investment governance, and initiatives aimed at long-term value creation in community solar, distributed generation, and energy storage.

β€’ Propel the next stage of the company’s growth while expanding its portfolio of owned and operated assets.

β€’ Provide strategic counsel to the CEO and Board of Directors regarding corporate growth strategy, capital allocation, industry consolidation trends, strategic financing options, and long-term value generation.

β€’ Collaborate with the CEO and Executive Leadership Team to define, prioritize, and implement a long-term corporate development, mergers and acquisitions (M&A), and growth strategy.

β€’ Convert objectives approved by the Board into acquisition roadmaps, capital deployment plans, investment recommendations, and initiatives for value creation.

β€’ Assess various growth avenues, including greenfield developments, project acquisitions, portfolio acquisitions, platform acquisitions, joint ventures, energy storage investments, and corporate acquisitions.

β€’ Direct corporate development and M&A processes, which encompass opportunity identification, transaction sourcing, financial assessments, due diligence, negotiation, execution, and integration planning.

β€’ Create and sustain acquisition roadmaps throughout North America.

β€’ Establish and nurture relationships with developers, asset owners, investors, lenders, tax equity providers, infrastructure funds, strategic partners, brokers, advisors, and other market stakeholders.

β€’ Assist in capital raises and critically assess preferred equity, growth equity, joint venture frameworks, and other strategic financing options.

β€’ Maintain long-term growth strategies and multi-year capital deployment models.

β€’ Evaluate capital needs and review project-level financial models, underwriting assumptions, and investment analyses.

β€’ Generate materials for the Board, including Investment Committee memoranda, acquisition recommendations, strategic planning presentations, capital allocation analyses, and transaction approval documentation.

β€’ Deliver recommendations, growth scenarios, acquisition opportunities, financing alternatives, risk assessments, and integration strategies to executives, investors, lenders, and the Board.

β€’ Analyze acquisitions of operating assets, development-stage portfolios, platform acquisitions, corporate acquisitions, carve-outs, distressed opportunities, and strategic investments.

β€’ Evaluate risks and opportunities related to projects, subscriber portfolios, interconnections, permitting, development, supply chain, tax credits, and regulatory issues.

β€’ Review revenue assumptions, power purchase agreements, subscriber agreements, incentive schemes, tax credit structures, and revenue opportunities related to storage.

β€’ Develop and manage financial models and valuation analyses employing DCF, comparable transactions, IRR, ROIC, sensitivity, and scenario analysis.

β€’ Forge strategic partnerships and identify avenues for market expansion, project development, storage deployment, technology enablement, and value generation.

β€’ Collaborate across functions to enhance processes, scalability, and operational efficiency.

β€’ Assess technology platforms, software tools, automation, AI applications, reporting systems, and data platforms.

β€’ Lead or sponsor the post-acquisition integration of platforms, businesses, teams, projects, and portfolios.

β€’ Recruit, mentor, manage, and develop the corporate development, M&A, and strategy team.

β€’ Establish transaction playbooks, diligence checklists, valuation standards, governance processes, integration frameworks, and investment committee protocols.


⛳️ Requirements

β€’ A bachelor's degree in Finance, Economics, Business, Engineering, Renewable Energy, or a related discipline is essential.

β€’ An MBA, CFA, or other advanced degree or relevant professional credential is preferred.

β€’ At least 15 years of professional experience in corporate development, mergers and acquisitions, renewable energy, infrastructure investing, investment banking, private equity, project finance, strategic finance, or related areas.

β€’ A minimum of 7–10 years of transaction experience in renewable energy, with substantial direct involvement in community solar, distributed generation, energy storage, or similar sectors.

β€’ Proven track record in leading complex M&A transactions, platform acquisitions, project portfolio acquisitions, corporate acquisitions, joint ventures, strategic partnerships, or industry consolidation efforts.

β€’ Demonstrated capability in building and managing teams, processes, governance structures, investment approval frameworks, transaction playbooks, and integration strategies.

β€’ Extensive experience in preparing and presenting materials to executive leadership teams, investment committees, investors, lenders, and Boards of Directors.

β€’ Strong expertise in capital markets, including debt financing, tax equity, project finance, underwriting, preferred equity, growth equity, joint venture structures, and corporate capital raises.

β€’ In-depth understanding of community solar, distributed generation, renewable energy development, asset valuation, subscriber management economics, interconnection, permitting, EPC, asset management, regulatory frameworks, and multi-state market dynamics.

β€’ Familiarity with solar-plus-storage, BESS economics, hybrid distributed generation assets, Investment Tax Credits, renewable energy incentives, and FEOC-compliant supply chain considerations.
