This is a fully remote position, open to applicants in Arizona, +13 more states.
• Review, draft, modify, and assist in negotiating client, vendor, and various commercial agreements.
• Identify legal and business risks while ensuring alignment with Company standards.
• Oversee contract matters until completion, coordinating internal reviews and approvals, addressing stakeholder inquiries, tracking outstanding items, and facilitating execution.
• Manage the administration and effective utilization of the contract lifecycle management system, including records, reporting, and user support.
• Provide daily guidance to legal operations personnel responsible for contract administration.
• Handle corporate registrations, renewals, related filings, and record management.
• Coordinate insurance applications, renewals, certificates of insurance, and communication with brokers, carriers, and business stakeholders.
• Conduct legal research and assist with due diligence, acquisitions, real estate matters, and other legal or strategic projects.
• Collaborate with business stakeholders and outside counsel to efficiently resolve legal and contracting issues.
• Undertake other responsibilities as assigned by the General Counsel.
• Adhere to and promote Company policies, procedures, and legal and ethical standards.
• Bachelor’s degree, associate degree in paralegal studies with paralegal certification, Juris Doctor (J.D.), or an equivalent combination of education and relevant experience.
• A minimum of five (5) years of progressively responsible experience, ideally in an in-house corporate legal department, commercial contracting, corporate legal operations, or a related legal or contracts role.
• Experience as a corporate paralegal, contract negotiator, contract analyst, contracts manager, or in a similar position.
• Proven experience in reviewing, drafting, modifying, negotiating, and managing commercial contracts.
• Familiarity with administering or supporting a contract lifecycle management system and related contracting processes.
• Leadership capabilities and the ability to provide daily guidance to legal support or legal operations personnel.
• Capacity to work independently, manage multiple priorities, identify and appropriately escalate significant issues, and maintain ownership through completion with minimal supervision.
• Exceptional written and verbal communication, editing, analytical, organizational, and problem-solving abilities.
• Proficiency in communicating professionally with executives, business stakeholders, clients, vendors, outside counsel, insurers, and other external entities.
• Strong technical skills and the ability to utilize legal technology and business systems.
• Adaptability, attention to detail, commitment to ongoing process improvement, and the ability to manage confidential and sensitive information.
• Preferred: experience with contract negotiation and administration of contract lifecycle management systems.
• Preferred: knowledge of corporate governance, entity registrations, and insurance processes.
• Preferred: experience in supporting mergers and acquisitions, due diligence, or real estate matters.
• Preferred: experience in healthcare, consulting, SaaS, or workforce solutions sectors.
