This is a fully remote position, open to applicants in South Africa.
• Create, develop, and sustain corporate structure charts for private equity and corporate M&A clients across APAC and US regions.
• Examine and authenticate corporate formation documents and shareholder registers to ascertain ownership across legal entities.
• Assess investor agreements and transaction documents to assist private equity funds in complying with securities laws.
• Work alongside clients and the Fund Formation & Structure Chart team across APAC and US time zones.
• Evaluate, provide input on, and enhance AI-driven tools for structure-chart preparation and fund-formation procedures.
• Recognize repetitive or manual workflow tasks that are suitable for automation and aid in the implementation of new tools.
• Collaborate with the Senior Funds Lawyer and management to ensure diagrams are up-to-date and legally compliant.
• Track project timelines, maintain logs and weekly progress reports, and relay updates.
• Assist in drafting, reviewing, and managing legal documents for corporate transactions.
• Prepare, file, and oversee business-entity documents with relevant authorities for corporations, LLCs, and partnerships.
• Ensure adherence to legal regulations across supported jurisdictions.
• Utilize legal software and AI tools to enhance the efficiency and accuracy of chart preparation.
• Specific legal qualifications or experience in funds are not mandatory.
• A willingness and capability to learn about corporate structures, entity documentation, and fund-formation processes while on the job.
• Strong understanding of corporate structures, legal entities, and their relationships across various jurisdictions.
• Highly organized, with a keen attention to detail and a commitment to producing precise, well-organized documentation.
• Comfortable performing repetitive, iterative structure-chart and document maintenance tasks.
• Interest in leveraging AI tools to enhance legal documentation processes.
• High proficiency in Microsoft Office, especially Excel and PowerPoint.
• Familiarity with legal management software.
• Strong analytical and problem-solving abilities.
• Effective communication skills, both written and verbal.
• Capability to interact with colleagues and clients across different jurisdictions and time zones.
• Ability to work independently and collaboratively within a distributed global team.
• Commitment to maintaining strict confidentiality in legal and client interactions.
• Previous experience in investment funds operations, ownership-structure review, or M&A due diligence is advantageous but not essential.
• Based in Johannesburg or Cape Town, South Africa.
• Availability to work from 9:00 a.m. to 6:00 p.m. BST.
