This is a fully remote position, open to applicants in Serbia, +4 more countries.
• Assess B2B commercial contracts submitted by clients.
• Detect risk provisions, inconsistencies, ambiguous language, and mistakes within commercial contracts.
• Draft organized feedback and proposed modifications.
• Assist in multiple negotiation and revision cycles.
• Ensure that documents are thoroughly prepared for final executive assessment.
• Evaluate conditional and unconditional waivers.
• Confirm the accuracy of project data, financial figures, and the legal rationale of release provisions.
• Cross-reference waiver documents with project details.
• Highlight risks and suggest approval or necessary amendments.
• Oversee document review workflows using ClickUp or similar platforms.
• Monitor review phases, versions, and status updates.
• Ensure that analysis captures the complete project context, including state-specific nuances, project types, values, scopes, and delivery/installation specifics.
• Utilize AI tools such as ChatGPT and Claude for identifying issues, redlining, document comparisons, and summaries.
• Validate AI-generated outputs and enhance analysis manually.
• Assist in the enhancement of prompt templates and AI workflows.
• Prepare organized materials for external legal counsel.
• Support internal teams with dispute/mediation cases, landlord issues, and trademark or compliance matters.
• Appropriately escalate complex legal risks.
• Convey contract comments and necessary changes to sales managers.
• Facilitate negotiation cycles with clients through internal collaboration.
• Ensure that final documents are precise and conform to company risk standards.
• Bachelor's degree in Law.
• Over 5 years of experience in contract review, legal support/paralegal work, or legal operations, including the ability to work independently as an individual contributor.
• Proficient in reviewing B2B contracts and commercial documentation.
• Experienced in managing challenging negotiations while upholding the company's interests.
• Background in supporting external lawyers or outside counsel.
• Knowledgeable about legal frameworks and contract practices across various jurisdictions.
• Fluent in English and Russian (C1 level minimum required).
• Excellent analytical skills and structured thinking, with a strong focus on detail.
• Practical experience utilizing AI tools for contract and document analysis, including the capability to create custom prompts for contract-related tasks.
• Skilled in Microsoft Word or Google Docs, including features such as tracked changes, commenting, and PDF review/version control.
• Quick learner with sound judgment regarding when to escalate issues.
• Capable of working independently in a remote, high-volume operational setting.
• Committed to precision and accountability in document management, including repetitive yet impactful analytical tasks.
• Strong written communication abilities.
• Digitally savvy and comfortable with structured workflows.
• Experience in construction, manufacturing, engineering, or other project-driven industries.
• Understanding of US commercial contract principles.
• Familiar with state-specific contract nuances.
• Experience working within remote international teams.
• Insight into US commercial contracting practices.
