This is a fully remote position, open to applicants in United States.
β’ Develop and implement the long-term strategy for GitLab's corporate and compliance legal department, ensuring legal priorities are in sync with the company's public company responsibilities, governance standards, and growth path.
β’ Act as the primary legal executive partner to the CFO, People leadership, and E-Group, providing counsel on corporate governance, securities issues, equity strategy, executive compensation, and M&A at the highest levels of complexity and significance.
β’ Build, lead, and nurture a high-performing team of corporate attorneys and paralegals, promoting a high-performance, async-first culture as the function expands.
β’ Provide advice, draft, and maintain templates, policies, and procedures for corporate legal matters, including securities filings, governance documentation, equity plan administration, executive compensation, and M&A transactions.
β’ Oversee GitLab's ongoing SEC reporting and disclosure responsibilities, collaborating closely with Finance, Accounting, and external auditors on legal issues relevant to accounting treatment and public company disclosures.
β’ Lead the legal support for equity plan administration, working in partnership with Stock Administration, People, and Total Rewards on plan design, grant practices, and compliance.
β’ Monitor and analyze modifications in corporate and securities law, evaluate legal risks, and propose innovative, practical solutions that align with GitLab's culture, brand, and business objectives.
β’ Anticipate legal challenges and risks associated with GitLab's continued growth, establishing the processes and systems necessary to mitigate potential impact.
β’ Promote AI-enabled legal workflows within the corporate legal team, encouraging the use of tools that enhance the speed and consistency of governance, disclosure, and contract reviews.
β’ Manage relationships with outside counsel for corporate, securities, and M&A matters, ensuring the efficient and effective utilization of external resources.
β’ Serve as a senior voice on cross-functional projects involving Legal, Finance, People, and Investor Relations, influencing decisions that shape GitLab's operations as a public company.
β’ 8+ years of combined experience in law firms and in-house legal settings, with significant experience leading corporate legal matters at a multinational, publicly traded technology organization.
β’ A J.D. or equivalent U.S. law degree with bar admission in good standing in at least one U.S. state.
β’ In-house public company experience with a robust understanding of the '33 Act and '34 Act, and proven experience managing SEC reporting and disclosure responsibilities.
β’ Demonstrated success in collaborating across business units, including Finance, Stock Administration, Accounting, People, and Marketing, to address complex business and risk management challenges while considering non-legal factors such as culture, brand, communications, government relations, tax, and insurance.
β’ Experience advising executives and the board on corporate governance, securities, equity compensation, and M&A issues.
β’ Proven ability to apply AI tools to legal workflows, with a history of driving team-wide adoption rather than individual usage.
β’ A practical and creative problem-solving approach that prioritizes addressing business needs while safeguarding GitLab's interests.
β’ A proactive, dynamic, and result-oriented leader with a keen attention to detail and experience working across different time zones and cultures.
β’ Exceptional interpersonal and executive communication skills, with the capability to interact effectively across all business functions with a responsive, service-oriented demeanor.
