Senior Corporate Counsel

This is a fully remote position, open to applicants in California.

📋 Description

• Act as a strategic legal advisor to Sales, Deal Desk, and executive management.

• Offer expert legal insights that drive enterprise SaaS revenue and facilitate commercial expansion.

• Formulate, draft, and negotiate intricate, high-value commercial contracts.

• Oversee global enterprise SaaS and cloud services agreements.

• Assist in developing strategic partnerships, reseller and systems integrator agreements, as well as multi-year professional services contracts.

• Mitigate legal risks in complex enterprise transactions.

• Balance client needs with scalable contracting practices.

• Enhance deal efficiency through fallback strategies, contract playbooks, and approval processes.

• Provide support for large ACV deals across multiple jurisdictions.

• Counsel on IP licensing, data privacy, security, SLAs, indemnities, audit rights, and regulatory compliance.

• Extensive experience driving enterprise SaaS revenue as a strategic legal partner to Sales, Deal Desk, and executive leadership.

• Proficient in structuring, drafting, and negotiating highly complex, high-value commercial contracts.

• Familiarity with global enterprise SaaS and cloud services agreements.

• Background in strategic partnerships, reseller and systems integrator agreements, and multi-year professional services contracts.

• Business-driven approach to managing legal risks in sophisticated enterprise transactions.

• Proven ability to balance client expectations with scalable contracting standards.

• Experience in creating and implementing fallback strategies, contract playbooks, and approval frameworks.

• Track record of supporting large ACV, multi-jurisdictional transactions.

• Expertise in IP licensing, data protection, security, SLAs, indemnities, audit rights, and regulatory compliance in global sales contexts.
