This is a fully remote position, open to applicants in United States, +2 more countries.
• Review, draft, populate, redline, and negotiate various commercial agreements independently, including MSAs, non-disclosure agreements, statements of work, amendments, order forms, vendor agreements, and other agreements with customers and suppliers.
• Oversee contract matters from initial intake through to execution, collaborating with internal stakeholders, counterparties, and attorneys.
• Act as a resource within the Legal Department for contracts, contracting processes, vendor and supplier issues, and routine legal matters.
• Identify contractual issues and deviations, resolve standard issues within established guidelines, and escalate legal or business risks when necessary.
• Create and maintain templates, playbooks, procedures, and other resources for the Legal Department.
• Design and implement scalable contracting processes, approval workflows, and escalation procedures.
• Evaluate and enhance the effectiveness of Legal Department policies, procedures, technology, workflows, and programs.
• Manage the contract lifecycle and other Legal Department technologies, including workflows, reporting, templates, and processes.
• Track contractual obligations, renewals, amendments, and key contract requirements.
• Keep corporate governance records, corporate filings, policies, and other corporate documentation up to date.
• Assist with compliance initiatives and cross-functional projects within the Legal Department.
• Draft correspondence and documentation for various business functions, including Legal, Sales, Finance, and Procurement.
• Provide guidance, training, and support to Legal team members regarding contracting processes, legal technology, and departmental procedures.
• Develop training materials and educate business stakeholders on contracting processes and Legal Department procedures.
• Assist with special projects and other legal matters as the needs of the company evolve.
• At least 6 years of relevant paralegal experience, including significant in-house exposure to corporate and commercial legal matters.
• Extensive hands-on experience in reviewing, drafting, redlining, and negotiating commercial contracts with minimal attorney oversight.
• Experience in managing contract matters directly with business stakeholders and, when applicable, external parties.
• Proven ability to differentiate between issues that can be resolved independently and those that require attorney escalation.
• Experience in designing, implementing, or significantly improving legal workflows, contracting processes, templates, playbooks, or other procedures within the Legal Department.
• Strong project management skills with a demonstrated ability to independently handle multiple matters and competing priorities in a dynamic environment.
• Excellent written and verbal communication skills, with the ability to effectively engage with attorneys, business stakeholders, and external entities.
• Strong attention to detail coupled with the capacity to grasp broader business objectives and apply practical judgment.
• Proven ability to manage highly confidential and sensitive information.
• Capable of working effectively both independently and collaboratively as part of a team.
• Bachelor's or associate degree is required.
• Proficient in Microsoft Office, Google Workspace, Adobe Acrobat Pro, and electronic signature platforms such as DocuSign.
• Preferred experience with contract lifecycle management, legal operations, project management, and business systems like Ironclad, Jira, and Salesforce.
• Comfortable with adopting new technologies, including AI-enabled legal tools, and assisting in the implementation of technology and process enhancements.
