This is a fully remote position, open to applicants in Washington.
β’ Act as a reliable partner and main legal liaison to facilitate the signing of datacenter-related agreements, such as LOIs, MSAs, order forms, and ancillary contracts.
β’ Draft, assess, and negotiate agreements pertaining to the construction, deployment, and operation of datacenters.
β’ Assist with agreements related to datacenter capacity leasing, colocation, design/build, facilities, operations, maintenance, and infrastructure procurement.
β’ Manage procurement agreements for GPUs, computing hardware, integrated server systems, networking equipment, power supplies, and other datacenter infrastructure.
β’ Collaborate with teams in datacenter procurement, engineering and operations, finance, tax, and compliance on deal structuring.
β’ Offer business-oriented guidance on risk allocation, supplier risk assessments, and supplier/product performance and remediation.
β’ Support international growth by tailoring requirements for new jurisdictions and working with local counsel.
β’ Develop scalable legal resources, including templates, playbooks, fallback positions, and approval matrices.
β’ Assist with other high-priority legal tasks for the streamlined Legal Department.
β’ Juris Doctor (JD) from an accredited institution.
β’ Active membership in the bar of at least one U.S. state.
β’ Over 8 years of legal experience.
β’ More than 3 years of substantial in-house experience supporting datacenter or similar large-scale infrastructure initiatives.
β’ Demonstrated experience with datacenter contracts from either a developer/provider or tenant viewpoint, including single tenant and/or colocation agreements featuring modified-gross, triple net, or other lease structures.
β’ Experience with facilities agreements and operations-and-maintenance contracts.
β’ Knowledge of datacenter operational needs, tax incentives, and financing mechanisms.
β’ Proven ability to manage multiple projects with minimal supervision while adhering to tight deadlines.
β’ Strong business acumen in balancing business and legal risks and converting complex legal advice into practical guidance.
β’ Excellent communication skills and collaborative problem-solving abilities.
β’ Capability to foster positive, influential relationships with cross-functional colleagues and senior leadership.
β’ Preferred: 5+ years of experience negotiating enterprise datacenter leases.
β’ Preferred: Experience in international procurement, trade compliance, supply-chain risk, power-related contracts, datacenter site selection diligence, zoning and permitting processes, and AI technologies.
