This is a fully remote position, open to applicants in Massachusetts.

📋 Description

• Act as a reliable partner and primary legal representative to facilitate the signing of datacenter-related agreements.

• Draft, evaluate, and negotiate contracts for the construction, implementation, and operation of datacenters.

• Manage agreements related to datacenter capacity leasing, colocation, design/build projects, facilities, operations-and-maintenance, and infrastructure procurement.

• Collaborate with teams in datacenter procurement, engineering and operations, finance, tax, and compliance to structure deals effectively.

• Advise the business on risk distribution, supplier risk evaluations, and supplier/product performance and remediation strategies.

• Assist in international expansion by adjusting requirements for new regions and coordinating with local legal counsel.

• Develop scalable legal tools, such as templates, playbooks, fallback positions, and approval matrices.

• Contribute to other high-priority legal projects for the streamlined Legal Department.


⛳️ Requirements

• Juris Doctor (JD) from an accredited law institution and active bar membership in at least one U.S. state.

• Over 8 years of legal experience.

• At least 3 years of significant in-house experience supporting datacenter or comparable large-scale infrastructure initiatives.

• Demonstrated experience with datacenter contracts from a developer/provider or tenant perspective, including single tenant and/or colocation agreements with modified-gross, triple net, or other lease structures.

• Familiarity with facilities agreements and operations-and-maintenance contracts.

• Knowledge of datacenter operational requirements, tax incentives, and financing frameworks.

• Experience in managing multiple projects independently and meeting tight deadlines.

• Strong business acumen in assessing business and legal risks and translating complex legal advice into practical guidance.

• Exceptional communication and collaborative problem-solving abilities.

• Preferred: Over 5 years of direct experience in negotiating enterprise datacenter leases.

• Preferred: Experience in international procurement, trade compliance, and supply-chain risk management.

• Preferred: Experience negotiating power-related contracts, such as interconnection agreements, electricity service agreements, PPAs, and behind-the-meter generation frameworks.

• Preferred: Experience with early-stage datacenter site-selection diligence, zoning, and permitting procedures.

• Tech-savvy with a keen interest in innovative AI technologies.
