Senior Corporate Counsel, Datacenters, Infrastructure

This is a fully remote position, open to applicants in Colorado.

📋 Description

• Act as a reliable partner and the main legal contact for finalizing datacenter-related agreements, which include LOIs, MSAs, order forms, and other ancillary agreements.

• Draft, review, and negotiate contracts that facilitate the construction, deployment, and operations of datacenters.

• Manage agreements related to datacenter capacity leasing, colocation, design/build, facilities, operations-and-maintenance, and infrastructure procurement.

• Assist in the procurement of GPUs, compute hardware, integrated server systems, network equipment, power equipment, and other essential datacenter infrastructure.

• Work collaboratively with teams in datacenter procurement, engineering and operations, finance, tax, and compliance to structure deals effectively.

• Offer business-oriented advice on risk distribution, supplier risk evaluations, supplier performance, and remediation issues.

• Facilitate international expansion by adjusting requirements for new jurisdictions and coordinating efforts with local legal counsel.

• Develop scalable legal resources, including templates, playbooks, fallback strategies, and approval matrices.

• Address additional high-priority legal matters, such as critical vendor and operations agreements, for the streamlined Legal Department.

⛳️ Requirements

• Juris Doctor (JD) from an accredited law school and active bar membership in at least one U.S. state.

• Over 8 years of legal experience.

• More than 3 years of substantial in-house experience supporting datacenter or similar large-scale infrastructure initiatives.

• Demonstrated experience with datacenter contracts from both developer/provider and tenant perspectives, including single tenant and/or colocation agreements that involve modified-gross, triple net, or other lease structures.

• Experience with facilities agreements and operations-and-maintenance contracts.

• Knowledge of datacenter operational requirements, including SLA constructs, maintenance schedules, security standards, audit rights, change control, and service credits.

• Understanding of tax incentives and financing structures.

• Proven ability to manage multiple projects with minimal supervision to meet tight deadlines while ensuring high-quality deliverables.

• Strong business judgment in balancing business and legal risks, as well as translating complex legal advice into practical guidance.

• Excellent communication and collaborative problem-solving abilities.

• Capacity to cultivate positive and influential relationships with cross-functional partners and senior leadership.

• Nice to have: Over 5 years of direct experience negotiating enterprise datacenter leases.

• Nice to have: Experience in international procurement, trade compliance, and supply-chain risk management.

• Nice to have: Familiarity with negotiating power-related contracts, including interconnection agreements, electricity service agreements, PPAs, and behind-the-meter generation frameworks.

• Nice to have: Experience with early-stage datacenter site-selection diligence, zoning, and permitting processes.

• Nice to have: Tech-savvy with a keen interest in innovative AI technologies.
