This is a fully remote position, open to applicants in North Carolina.
• Act as the lead attorney overseeing legal entity management and subsidiary governance for the Company’s diverse portfolio of entities.
• Oversee the formation, maintenance, periodic filings, reporting obligations, registered agent filings, and compliance with state regulations.
• Prepare subsidiary corporate documents such as resolutions, intercompany agreements, certificates, powers of attorney, and notifications.
• Maintain updated lists of officers and directors along with other internal resources.
• Create and enhance plans, processes, and best practices related to corporate governance, entity management, internal documentation, and knowledge management.
• Assist with and address Know Your Client (KYC) inquiries.
• Keep abreast of legislative, regulatory, and corporate governance trends.
• Provide support for M&A transactions, financing activities, and special projects, including confidentiality agreements, due diligence, and transaction documentation.
• Aid in post-transaction integration and separation efforts, along with post-closing activities.
• Work collaboratively with Finance, Tax, HR, Legal, and other cross-functional teams.
• Help manage the Company’s intellectual property portfolio and associated resources, reporting, and communications.
• Offer additional legal support for commercial contracts, SEC and Board matters, and litigation management.
• Collaborate on reports regarding changes in corporate entities, officer changes, M&A, and divestitures.
• Identify potential legal and business risks and escalate matters appropriately to senior attorneys.
• Juris Doctor (J.D.) degree from an accredited law school.
• Active membership in at least one U.S. state bar in good standing.
• A minimum of 3 years of legal experience in corporate transactions, corporate governance, entity management, or a closely related field.
• Experience in a law firm or in-house legal department, ideally possessing a blend of both.
• Exceptional written and verbal communication abilities.
• Capability to convey complex legal concepts into practical advice for non-legal audiences.
• Ability and willingness to manage multiple priorities at once.
• Competence in balancing administrative and substantive workstreams and adapting to various substantive legal areas.
• Self-motivated individual with a keen attention to detail and a service-oriented mindset.
• Familiarity with and enthusiasm for incorporating new technology tools into legal workflows.
