This is a fully remote position, open to applicants in United States.
• Provide ongoing legal counsel and strategic advice on corporate and general legal issues.
• Assist in corporate governance activities, including managing board meetings, preparing board materials, recording minutes, drafting resolutions, and maintaining corporate records.
• Support M&A initiatives, including conducting legal due diligence, facilitating transactions, and coordinating with stakeholders and external counsel.
• Oversee regulatory and SEC filings, manage entity compliance, and ensure adherence to corporate governance requirements.
• Aid in the administration and oversight of company equity plans.
• Draft, review, negotiate, and provide advice on various commercial agreements, such as revenue contracts, vendor agreements, partnership contracts, and other business documents.
• Collaborate with Sales, Product, Finance, and other cross-functional teams to structure transactions while managing legal and commercial risks.
• Offer legal insights for new products, services, and strategic alliances.
• Act as a trusted legal advisor to business leaders, providing practical and actionable guidance.
• Manage and coordinate with outside counsel on litigation, disputes, trademarks, intellectual property, and other specialized legal issues.
• Enhance legal processes, templates, and workflows for efficiency.
• Build relationships with stakeholders and effectively communicate complex legal matters.
• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to and active standing with at least one U.S. state bar.
• A minimum of 5 years of relevant legal experience, with significant in-house experience preferred.
• Experience in a technology company, ideally within a mid-sized or larger organization, involving corporate governance and complex business operations.
• Demonstrated experience with corporate governance, board matters, M&A due diligence, regulatory/SEC filings, equity plans, and general corporate issues.
• Proven track record in drafting, reviewing, and negotiating commercial contracts, including revenue, vendor, and partnership agreements.
• Strong business acumen with the capability to provide practical, solution-oriented legal advice.
• Excellent negotiation skills and executive presence, with the ability to influence and collaborate effectively with senior leadership.
• Capacity to manage multiple priorities and work independently in a dynamic, fast-paced technology setting.
• Outstanding verbal and written communication abilities.
• Strong organizational skills and meticulous attention to detail.
• Ability to evaluate and articulate legal and business risks clearly and propose practical solutions.
• Comfortable collaborating across Sales, Product, Finance, and other departments.
• Skilled in managing outside counsel efficiently and recognizing when specialized legal expertise is necessary.
