This is a fully remote position, open to applicants in United States.

📋 Description

• Take ownership of Backblaze's public-company legal framework, encompassing SEC reporting, corporate governance, board and stockholder assistance, equity and Section 16 compliance, entity management, and corporate transactions.

• Draft and review securities filings including Form 10-K, 10-Q, and 8-K.

• Create and assess annual proxy statements and associated proxy materials.

• Organize and oversee annual stockholder meetings and related functions.

• Manage Section 16 compliance, Rule 10b5-1 plans, insider trading policies, and equity-related concerns.

• Formulate, uphold, and revise corporate governance policies and procedures.

• Provide guidance on governance issues and support Board, Board committee, and stockholder meetings.

• Oversee international corporate governance, subsidiaries, branches, and ongoing domestic and international entity management.

• Assist in risk management, periodic risk evaluations, and related compliance initiatives.

• Supervise legal components of M&A, corporate finance, and strategic transactions.

• Structure, negotiate, and handle equipment lease and financing agreements, including sale-leasebacks, master lease contracts, and vendor financing arrangements.

• Offer advice on debt financing, credit facilities, and capital-raising efforts.

• Stay updated on regulatory and industry trends related to governance, securities laws, regulations, and best practices.

• Utilize AI tools to enhance drafting, filing preparation, disclosure review, and governance workflows.

• Collaborate with outside counsel and work alongside Finance and Accounting, Privacy, Compliance, Sales & Marketing, and leadership teams.

• Perform additional duties as necessary.


⛳️ Requirements

• Extensive experience in public-company securities and reporting, with the capability to independently manage the 10-K, 10-Q, 8-K, and proxy processes.

• Strong background in corporate governance and experience supporting a Board of Directors and its committees.

• Proven expertise in Section 16, Rule 10b5-1, insider trading compliance, and equity administration.

• Experience in M&A, corporate finance, and other strategic transactions.

• Comfortable acting as the primary custodian of the public-company stack within a small team, demonstrating high ownership and sound, practical judgment.

• Proficient in AI, or a strong interest and proven ability to develop it, with comfort using AI tools to enhance efficiency within a securities and governance context.

• Clear and concise communicator capable of translating complex securities and governance requirements into actionable, business-oriented advice.

• Exceptional attention to detail with a solid track record of managing deadline-driven filing and governance schedules.

• J.D. degree with active U.S. bar membership in good standing.

• Over 10 years of relevant legal experience, including significant public-company securities and corporate governance expertise; a blend of law firm and in-house experience is preferred.

• In-depth working knowledge of federal securities laws and regulations (including Regulation FD) and applicable Nasdaq listing standards.

• Demonstrated experience in preparing SEC filings (Form 10-K, 10-Q, and 8-K) and annual proxy statements, as well as managing annual stockholder meetings.

• Experience in advising on M&A, corporate finance, and entity management matters.

• Familiarity with, or a genuine commitment to developing fluency in, AI and its application to legal and governance tasks, with comfort using AI tools to enhance productivity.

• In-house experience at a public technology or SaaS company is an advantage.
