This is a fully remote position, open to applicants in United States.
• Independently create, review, negotiate, and oversee a substantial volume of commercial agreements in line with Lattice’s contracting playbooks, approval framework, and risk parameters.
• Lead discussions related to SaaS order forms, terms of service, master services agreements, data processing agreements, service level agreements, amendments, renewals, trials, AI-related terms, termination agreements, and associated customer documents.
• Review and negotiate agreements with vendors, suppliers, and service providers.
• Provide support for technology partnerships, integrations, referral programs, sponsorships, events, speaker engagements, and strategic or marketing relationships.
• Act as the primary liaison between Legal and business stakeholders, offering guidance on contract structure, risk distribution, negotiation strategies, approval processes, and escalation procedures.
• Address issues within established guidelines and escalate significant legal, financial, privacy, security, product, or operational risks with analysis and recommendations.
• Collaborate with Privacy, Security, Product, Finance, and other subject-matter experts to ensure that contractual obligations are accurate, viable, approved, and monitored.
• Manage multiple negotiations from initial intake to final signature.
• Maintain records of contracts, approvals, metadata, and final documents across Ironclad, Salesforce, Zip, and related systems.
• Identify patterns in negotiations, operational challenges, and emerging risks, and enhance templates, playbooks, fallback positions, training, and self-service resources.
• Utilize approved AI and legal technology tools to expedite contract reviews, compare language against playbooks, pinpoint issues, assist in drafting, summarize negotiations, and boost workflow efficiency.
• Generate reports on contract volume, cycle time, negotiation trends, escalations, and other key indicators.
• Keep abreast of developments in commercial contracting, SaaS businesses, data privacy, AI-enabled products, and contracting technology.
• A minimum of five years of relevant experience in negotiating and managing commercial technology agreements, ideally within a high-growth SaaS or technology organization.
• Equivalent combinations of legal, contracts, and business expertise will be taken into account.
• Capability to independently handle customer-facing SaaS negotiations, including master agreements, subscription terms, data processing agreements, service level agreements, and related commercial documents.
• Experience in reviewing technology vendor and procurement agreements.
• Strong commercial acumen and the ability to differentiate material risks from lesser-value negotiation points.
• Ability to thoughtfully apply playbooks and policies, recognize issues beyond established parameters, and present escalation matters with practical recommendations.
• Working knowledge of SaaS contracting challenges, including intellectual property, confidentiality, data usage, privacy, security, indemnification, limitations of liability, SLAs, warranties, renewals, and termination rights.
• Excellent written and verbal communication skills, with the ability to clarify complex contract issues effectively.
• Strong organizational and project management skills, with a proven track record of managing a large and evolving portfolio with limited supervision.
• A collaborative mindset and a history of establishing trust-based relationships across cross-functional teams.
• Significant experience using AI-assisted tools for contract review, drafting, analysis, knowledge management, or workflow automation.
• Sound judgment regarding confidentiality, accuracy, and the responsible use of AI-assisted tools.
• Proficiency in Microsoft Word.
• Familiarity with contract lifecycle management and procurement platforms.
• Experience with Ironclad, Salesforce, Zip, Google Workspace, Slack, and Excel is preferred.
• Experience working with international counterparties and modern privacy and AI regulatory frameworks is a plus.
