This is a fully remote position, open to applicants in United States.
• Collaborate with business teams to efficiently finalize deals while safeguarding Paxos' interests.
• Convert legal, commercial, technological, and regulatory factors into clear, actionable advice.
• Enhance efficiency through the development of templates, playbooks, and process enhancements.
• Oversee in-house commercial, corporate, and various legal matters.
• Draft, negotiate, and finalize complex agreements related to commercial, SaaS, technology, vendors, licensing, data, and strategic partnerships.
• Manage the deal process from term sheet to signature.
• Provide guidance to senior finance and business development professionals on deal structures, risk distribution, approval processes, and practical alternatives.
• Ensure cross-functional stakeholders remain aligned on priorities, decisions, trade-offs, and next steps.
• Develop and refine scalable contract processes, clause libraries, playbooks, and self-service tools.
• Identify underlying issues and create sustainable solutions and process improvements.
• Leverage AI and other technologies for legal reviews, drafting, research, and workflow management.
• Contribute to broader in-house matters as business requirements evolve.
• 6–10 years of experience in commercial law focused on technology transactions, SaaS agreements, corporate law, mergers & acquisitions, funds, and/or finance at a leading law firm or a rapidly growing technology company.
• Proven ability to lead intricate commercial negotiations from the initial term sheet through to final execution.
• Strong judgment on when to be assertive and when to be flexible.
• Commercially minded with a solid grasp of practical business challenges.
• Capable of balancing legal risks with business objectives.
• Experience in working cross-functionally on multiple projects under tight deadlines.
• Exceptional written and verbal communication and negotiation abilities.
• Skilled at clearly explaining complex legal concepts to non-lawyers.
• Proficient and discerning in the use of relevant AI tools.
• Sound judgment regarding when human review is crucial.
• Experience with a diverse range of in-house legal issues, including employment matters, stock option plans, and intellectual property (preferred but not required).
• Background in a rapidly growing, tech-driven company (preferred but not required).
• Strong interest in blockchain technology and its dynamic regulatory environment (preferred but not required).
