Senior Business Advisory - Transactional Attorney

This is a fully remote position, open to applicants in Florida.

📋 Description

• Act as the primary day-to-day and on-call legal advisor for business clients.

• Review and negotiate contracts, vendor risk and security agreements, demand letters, and matters related to dispute prevention.

• Manage regulatory compliance and licensing duties, including reviews, filings, license transfers, handling complaints, conducting investigations, and addressing disciplinary actions.

• Respond to inquiries from agencies during investigations and audits.

• Provide guidance on workplace safety, OSHA compliance, as well as advertising and marketing evaluations, government procurement, bid protests, and economic development incentives.

• Counsel on employment issues encompassing handbooks, policies, agreements, restrictive covenants, confidentiality clauses, disciplinary actions, separations, releases, restructuring, and workplace investigations.

• Oversee trademark strategy, clearance screening, USPTO filings, brand guidelines, enforcement, cease-and-desist activities, copyright assignments, licensing, and domain disputes.

• Serve as the main point of contact for clients and escalate issues when there are changes in risk, budget, or strategy.

• Develop compliance programs, implement trade secret protections, conduct legal audits, establish policies and codes of conduct, and create data privacy/cybersecurity incident response playbooks.

• Mentor junior attorneys and paralegals.

• Enhance matter plans, clause libraries, templates, technology, and legal products.

• Oversee timekeeping, service commitments, budgets, and execution of tasks.

• Identify related legal needs, engage in alignment discussions, maintain proactive outreach to clients, and assist in pitches and cross-selling efforts.

⛳️ Requirements

• Juris Doctor (JD) degree.

• Active membership in the Florida Bar.

• A minimum of 5 years of experience in business advisory, regulatory compliance, employment law, or intellectual property practice.

• Proven ability to manage matters autonomously, ensuring budget discipline, accurate scoping, and dependable delivery without daily oversight.

• Skilled in precision drafting, producing clean documents with consistently defined terms and no loose ends.

• Comfortable with direct communication with clients, counterparties, agencies, and regulators.

• Ability to operate within a structured system while finding ways to enhance it.

• Strong triage judgment skills.

• Comfort in delegating substantive work and following up as necessary.

• Preferred: experience in administrative law or licensing practice before state or local agencies.

• Preferred: experience with USPTO trademark prosecution.

• Preferred: background in employment counseling from an advisory perspective.

• Preferred: expertise in construction, healthcare, financial services, or similarly regulated industries.

• Preferred: experience in establishing a compliance program from the ground up.

• Preferred: admission to the Georgia Bar or willingness to pursue it.
