This is a fully remote position, open to applicants in California.
• Prepare and submit formation documents, including certificates, amendments, qualifications, and dissolutions.
• Draft board minutes, consents from the board and stockholders, notices, and waivers.
• Assist attorneys with corporate transactions, which includes due diligence, filings, and closing processes.
• Handle stock and option administration by drafting agreements, preparing reports, and issuing stock notices.
• Oversee capitalization processes and maintain records in equity management platforms, including Rule 701 analysis.
• Conduct research to prepare and manage corporate and securities filings.
• Prepare and assist with EDGAR code applications and accounts.
• Engage with clients, holders, directors, investors, and auditors for effective communication.
• Provide assistance for franchise taxes, annual reports, and reminders to clients.
• Keep client and entity files, minute books, and corporate records organized and up to date.
• Bachelor’s Degree or Paralegal Certificate from an accredited college or university.
• 4+ years of experience as a corporate paralegal in a law firm.
• Strong working knowledge of corporate responsibilities for private companies.
• Familiarity with corporate governance issues and transactional work.
• Knowledge of securities and corporate laws.
• Experience with capitalization management platforms such as Carta, Pulley, and Shareworks.
• Proficient in using Excel spreadsheets.
• Detail-oriented and organized, possessing excellent analytical skills.
• Strong communication and prioritization abilities to manage multiple projects under deadline pressure.
