This is a fully remote position, open to applicants in United States, +1 more country.
• Manage the daily legal and compliance operations comprehensively.
• Review, edit, and handle NDAs.
• Conduct initial reviews of customer agreements, order forms, vendor contracts, amendments, and renewals, ensuring alignment with approved positions and playbook utilizing AI capabilities.
• Identify significant deviations related to indemnification, limitation of liability, IP ownership, data rights, termination, and assignment, and escalate them to the CFO.
• Create and update contract templates, fallback language, and negotiation playbooks.
• Ensure a precise, complete, and searchable contract repository.
• Respond to due diligence inquiries.
• Oversee business license applications, renewals, annual reports, and state registrations across all operational jurisdictions.
• Manage the compliance calendar and coordinate foreign qualifications, registered agent relationships, and good-standing certificates.
• Maintain corporate records and entity documentation, preparing corporate housekeeping materials for financing, audits, and due diligence.
• Facilitate registrations for sales in new states or to different customer types.
• Administer the company's insurance program, including renewals, underwriting questionnaires, broker coordination, certificates, endorsements, waivers, coverage assessments, claims reporting, and broker/carrier collaboration.
• Handle customer-required documentation such as vendor forms, W-9s, supplier registrations, procurement portals, certificates of insurance, and compliance attestations.
• Assist with bid, RFP, and procurement submissions.
• Develop and enhance legal operations systems, workflows, and tracking mechanisms.
• Document standardized processes.
• Provide guidance and training to Sales, Finance, and Operations teams.
• Support trademark and IP maintenance, privacy and data protection inquiries, and subpoena or records requests, escalating to legal counsel when necessary.
• Report directly to the CFO.
• 5+ years of experience as a paralegal and in contract management, preferably within a technology or SaaS environment.
• Practical experience in contract management, including reviewing and editing NDAs and commercial agreements according to a playbook.
• Knowledge of business license and entity compliance across various jurisdictions.
• Familiarity with commercial insurance concepts, certificates of insurance, and contractual insurance obligations.
• Outstanding organizational skills and attention to detail.
• Good judgment regarding scope and the appropriate time to engage legal counsel.
• Ability to communicate clearly and directly with sales representatives, executives, customers, and attorneys.
• Comfortable working independently in a role without a predefined structure or predecessor.
• Paralegal certification or a bachelor's degree with relevant practical experience.
• Currently, we cannot offer Visa sponsorship.
• Preferred: Experience with public sector, government agency, or enterprise procurement processes.
• Preferred: Exposure to data privacy frameworks or assistance with security questionnaires and audits (SOC 2, GDPR, CCPA).
