This is a fully remote position, open to applicants in Rhode Island.
β’ Act as a vital member of the Compensation & Benefits Legal Team within CVS Health Corporate Affairs.
β’ Deliver strategic, practical, and business-oriented legal advice to internal stakeholders, senior/executive management, and fiduciaries.
β’ Counsel on the design, implementation, administration, governance, and regulatory compliance of health and welfare plans.
β’ Provide guidance on ERISA, the Internal Revenue Code, ACA, HIPAA, COBRA, MHPAEA, CAA, and other relevant federal and state laws.
β’ Offer legal support for defined contribution and various retirement programs.
β’ Draft, review, and modify plan documents, summary plan descriptions, committee charters, resolutions, and participant communications.
β’ Advise plan fiduciaries on their responsibilities, prohibited transactions, governance practices, and risk mitigation strategies.
β’ Assist with participant inquiries, benefit claims, appeals, and regulatory issues.
β’ Support benefit plan audits, governmental examinations, Form 5500 filings, and compliance activities.
β’ Provide advice on benefit plan governance frameworks and fiduciary committee operations.
β’ Review and negotiate contracts related to benefits.
β’ Work collaboratively with internal stakeholders to foster compliance and operational excellence.
β’ Offer legal counsel on executive compensation programs, including incentive programs, equity awards, nonqualified deferred compensation plans, and severance packages.
β’ Provide guidance on employee benefits and executive compensation issues in mergers, acquisitions, and divestitures.
β’ Assist in overseeing the Compensation and Benefits legal team.
β’ Must be admitted to practice law in at least one state and be a member in good standing of the relevant state bar association(s).
β’ Minimum of 10 years of experience advising on employee benefits and executive compensation issues, including ERISA, IRC, ACA, HIPAA, COBRA, and 409A.
β’ Excellent drafting, negotiation, analytical, and problem-solving abilities.
β’ Capacity to provide legal advice based on a comprehensive understanding of law and risk awareness.
β’ Ability to articulate complex legal concepts clearly to business stakeholders.
β’ Proficient in managing multiple priorities while working effectively in a fast-paced, collaborative environment.
β’ Strong business acumen and a solution-focused approach to legal counseling.
β’ Juris Doctor (J.D.) degree from an accredited law school.
β’ Experience in supporting benefits programs for a large, complex employer.
β’ Familiarity with advising fiduciary committees and assisting in ERISA litigation, government audits, or regulatory investigations.
β’ Experience in managing junior colleagues.
