M&A Manager

This is a fully remote position, open to applicants in United States.

📋 Description

• Identify potential acquisition targets and assess them using strategic criteria.

• Generate deal flow through direct outreach, brokers, networks, and the customer and agency partner ecosystem.

• Maintain a well-structured acquisition pipeline.

• Engage with owners and management teams of potential target companies directly.

• Conduct company valuations utilizing DCF and multiples-based methods, along with creating business cases.

• Facilitate commercial, legal, and tax due diligence in collaboration with the CEO, Finance team, and external advisors.

• Assist in negotiating term sheets, LOIs, and purchase agreements alongside the CEO.

• Support transactions from initiation to signing and closing.

• Aid in integration planning post-acquisitions.

• Create a reusable playbook for post-merger integration.

⛳️ Requirements

• Several years of experience in M&A, investment banking, transaction services, corporate finance, or strategy consulting.

• A university degree in business administration, finance, or a related field.

• Strong expertise in company valuation and financial modeling.

• Familiarity with SaaS metrics such as ARR, net revenue retention, churn, and CAC.

• Experience with buy-and-build models or software transactions is a significant advantage.

• Background in conducting or supporting due diligence processes.

• Confident negotiating style and exceptional communication skills when collaborating with managing directors and owners.

• Independent and organized working style with a high level of initiative.

• Ideally, a well-established network in the software, hosting, or agency sectors—or the capability to build one swiftly.

• Proficient in both German and English.
