M&A Manager

This is a fully remote position, open to applicants in Germany.

📋 Description

• Identify potential acquisition targets and evaluate them strategically in collaboration with the CEO and Finance team.

• Proactively develop deal flow through direct outreach, brokers, networks, as well as customer and agency partners.

• Maintain an organized deal pipeline.

• Directly engage with owners and management teams of potential target companies.

• Conduct company valuations utilizing DCF and multiple-based methods, along with preparing business cases.

• Assist in commercial, legal, and tax due diligence processes.

• Prepare for and facilitate negotiations of term sheets, LOIs, and purchase agreements.

• Support transactions from initiation through signing and closure.

• Aid in post-acquisition integration planning.

• Create a reusable playbook for post-merger integration.

⛳️ Requirements

• Several years of relevant experience in M&A, investment banking, transaction services, corporate finance, or strategy consulting.

• A completed degree in business administration, finance, economics, or a related field.

• Strong proficiency in company valuation and financial modeling.

• Understanding of SaaS metrics including ARR, Net Revenue Retention, churn, and CAC.

• Experience with buy-and-build models or software transactions is a significant advantage.

• Experience in conducting or assisting due diligence processes.

• Strong negotiation skills and confident communication with managing directors and business owners.

• Independent and structured working style with a high level of initiative.

• Ideally, an established network in the software, hosting, or agency sectors, or the capability to develop one rapidly.

• Proficient in both German and English.
