M&A Manager

This is a fully remote position, open to applicants in Germany.

📋 Description

• Identify prospective acquisition targets and evaluate them strategically in conjunction with the CEO and Finance team.

• Generate deal flow through direct outreach, brokers, networks, and the customer and agency partner ecosystem.

• Systematically manage and monitor the deal pipeline.

• Engage directly with the owners and management teams of potential target companies.

• Prepare company valuations using methods such as DCF and multiples-based approaches, along with business cases.

• Assist in commercial, legal, and tax due diligence in collaboration with both internal and external advisors.

• Prepare and facilitate the negotiation of term sheets, LOIs, and purchase agreements alongside the CEO.

• Support transactions from initial outreach through to signing and closing.

• Aid in post-acquisition integration planning.

• Collaborate with the team to develop a reusable post-merger integration playbook.

⛳️ Requirements

• Several years of professional experience in M&A, investment banking, transaction services, corporate finance, or strategy consulting.

• A completed degree in business, finance, economics, or a related field.

• Strong expertise in company valuation and financial modeling.

• Familiarity with SaaS metrics such as ARR, net revenue retention, churn, and CAC.

• Experience with buy-and-build models or software deals is highly advantageous.

• Background in conducting or supporting due diligence processes.

• Confident negotiator with excellent communication skills when engaging with executives and business owners.

• Independent and structured working style with a strong initiative in proactively approaching targets.

• Ideally, a well-established network in the software, hosting, or agency sectors—or the capability to build one swiftly.

• Fluent in both German and English.
