Legal Counsel, Corporate Securities

This is a fully remote position, open to applicants in United States.

📋 Description

• Ensure adherence to securities laws, regulations, and Nasdaq listing standards.

• Provide legal oversight for public disclosures, encompassing 10-Ks, 10-Qs, 8-Ks, earnings calls, investor relations announcements, and corporate press releases.

• Support the management of equity programs, including preclearance, corporate and insider 10b5-1 plans, compliance with insider trading, dual-class stock issues, Form S-8, and Section 16 filings.

• Assist with the organization of quarterly and ad hoc Board and Committee meeting processes.

• Ensure the implementation of corporate governance best practices.

• Oversee the planning and execution of the annual stockholder meeting, including the preparation of proxy statements.

• Provide counsel on shareholder-related issues.

• Assist with both registered and unregistered securities offerings as well as complex strategic initiatives.

• Develop and enforce corporate policies and procedures.

• Draft compliance certificates.

• Offer guidance on director and officer matters.

• Provide general advice and support to teams in Finance, Accounting, Equity Administration, Compensation, Corporate Development, Tax, Insurance, and Investor Relations.

⛳️ Requirements

• A minimum of 5 years' experience as a corporate securities and/or executive compensation and benefits attorney.

• Proven experience working in-house at a public company, at a law firm, or a combination of both.

• Familiarity with equity programs and processes, including unique equity award structures, associated reporting requirements, and collaboration with Equity Administration teams.

• Exceptional verbal and written communication abilities.

• Capable of synthesizing and presenting intricate ideas in a clear and comprehensible manner to employees at all levels and external stakeholders.

• Experience in creating clarity and prioritizing impactful work and significant risks.

• Ability to cultivate empathy, collaboration, and mutual respect.

• Comfortable in a fast-paced, high-energy environment while navigating uncertainties.

• Possesses intellectual curiosity and humility.
