This is a fully remote position, open to applicants in Florida.
• Assist in the daily operations across a variety of company portfolios.
• Aid in M&A activities from an operational perspective as needed.
• Offer strategic legal advice on matters essential to growth and operational effectiveness.
• Draft, review, negotiate, and manage intricate commercial agreements, including software licensing, SaaS, vendor, customer, and partnership agreements.
• Provide counsel on corporate governance and compliance matters.
• Assist with employment law issues and HR initiatives.
• Support the licensing, management, and protection of intellectual property.
• Maintain corporate records and ensure adherence to corporate formalities.
• Offer guidance on regulatory compliance issues.
• Work collaboratively with business teams to identify and mitigate legal risks.
• Support M&A due diligence and navigate legal issues across multiple jurisdictions.
• Juris Doctor (J.D.) degree from an accredited law school.
• Active membership to practice law in good standing within the United States.
• At least 5 years of legal practice experience, either in a law firm or in-house.
• Outstanding drafting and negotiation skills, particularly in creating and structuring complex commercial agreements.
• Strong analytical and problem-solving skills coupled with sound legal judgment.
• Demonstrated business acumen with the ability to offer practical, commercially oriented legal advice.
• Experience in managing multiple priorities and stakeholders in a dynamic environment.
• Excellent communication skills with the ability to simplify complex legal concepts for business audiences.
• Capability to navigate multi-jurisdictional legal matters and collaborate with international stakeholders.
• Familiarity with technology, software, AI licensing agreements, and SaaS business models.
• Understanding of commercial contracts, including vendor agreements, partnership arrangements, and customer agreements.
• Knowledge of global corporate governance and compliance frameworks.
• Experience in M&A support and due diligence.
• Knowledge of international and U.S. operations.
• Familiarity with employment law and HR-related legal issues.
• Understanding of intellectual property management and protection.
• Ability to work autonomously while effectively collaborating across teams.
• Strong organizational skills and attention to detail.
• Comfortable working in an entrepreneurial, high-growth environment.
• Legally authorized to work in the United States.
