This is a fully remote position, open to applicants in United States, +1 more country.
• Offer legal counsel to business stakeholders across diverse regions.
• Draft, evaluate, and negotiate commercial contracts, including software licensing, SaaS, service, supplier, reseller, distribution, and NDA agreements.
• Review and negotiate requests for proposals (RFPs), public and private tenders, and associated terms and conditions.
• Implement risk management strategies and deliver practical legal and strategic guidance.
• Examine contracts and subcontracting agreements while collaborating with customer and vendor contracting teams.
• Collaborate with management, sales, finance, and operations to structure contracts effectively.
• Oversee, guide, and mentor the Contracts Manager and Compliance Manager.
• Organize and supervise team activities while managing competing priorities.
• Evaluate contract risks and ensure adherence to laws, company policies, government regulations, and business objectives.
• Conduct research across various jurisdictions and enhance contract processes and templates.
• Maintain precise contract records and relay legal and contract information to stakeholders.
• Assist with mergers and acquisitions (M&A) and portfolio acquisition activities, including due diligence, transaction documentation, and post-closing integration.
• Contribute to policy development and training initiatives.
• Provide advice on data protection and privacy compliance, including UK/EU GDPR and US state privacy regulations.
• Manage disputes, claims, and litigation in collaboration with external legal counsel.
• Support corporate governance and compliance efforts.
• 5–10 years of relevant legal experience within an international law firm or an in-house legal department.
• A law degree (e.g., JD or equivalent) is mandatory.
• Must be licensed to practice law and called to the Bar in Canada or the United States, and maintain good standing.
• Strong expertise in commercial law and relevant experience.
• Knowledge of software licensing agreements, public procurement processes, and contract negotiations.
• Experience collaborating with public agencies and managing public procurements.
• Previous experience at a technology or software firm, dealing with IT contracts, government procurement, software licensing, or SaaS agreements.
• Experience in supporting M&A transactions is an advantage.
• General understanding of data protection and privacy legislation is a plus.
• Excellent verbal, written, and analytical skills.
• Proficient in using Claude, ChatGPT, and other AI tools.
• Ability to prioritize tasks and manage time effectively.
• High attention to detail.
• Strong interpersonal and collaborative abilities.
• Capability to work across various companies and jurisdictions.
• Some travel may be necessary.
