Lead, Legal – Subcontracts

This is a fully remote position, open to applicants in Texas.

📋 Description

• Act as the main point of contact between Supply Chain and the Office of the General Counsel for matters related to contracts and compliance.

• Provide guidance to purchasing professionals and program managers regarding subcontract issues, terms, and associated risks.

• Offer advice on novations/assignments, software licenses, intellectual property clauses, teaming agreements, proprietary information agreements, and various other types of agreements.

• Guide when it is necessary to escalate matters to the Office of the General Counsel.

• Review and enhance submissions to the Office of the General Counsel to ensure clarity, completeness, and contextual understanding.

• Identify and leverage opportunities to resolve issues within Supply Chain and minimize unnecessary legal escalations.

• Monitor and provide transparency on matters directed to the Office of the General Counsel.

• Collaborate with the Office of the General Counsel to ensure timely resolutions.

• Support Supply Chain personnel with contractual matters and best practices.

• Encourage consistent application of policies concerning engagement with the Office of the General Counsel.

• Create templates, playbooks, and standardized processes in partnership with Counsel.

• Assist in maintaining business processes and policies while ensuring compliance with prime contract requirements and relevant laws/regulations.

• Interpret contractual clauses within assigned scope and policy/procedure limits.

• Develop or enhance processes for escalation and decision-making.

• Travel between Rockwall, Plano, Greenville, and Waco as necessary.

• Carry out additional duties as assigned by the Supervisor.


⛳️ Requirements

• Bachelor’s Degree with nine (9) years of experience in US Government (FAR/DFARS) contract procurement processes, contracts/licenses, other transaction authority, and/or drafting and negotiating commercial contracts; or a Graduate Degree with seven (7) years of such experience.

• Alternatively, a minimum of 13 years of experience in US Government (FAR/DFARS) contract procurement processes, contracts/licenses, other transaction authority, and/or commercial contracts drafting and negotiations in lieu of a degree.

• Seven (7) years of pertinent experience in Aerospace & Defense (A&D) or regulated industries.

• Proficiency in terms and conditions with a comprehensive understanding of Supply Chain processes.

• Familiarity with contractual risk considerations.

• Proven ability to influence others without direct authority and collaborate effectively within a matrixed organization.

• Strong analytical and problem-solving capabilities.

• Capacity to interpret cybersecurity, warranty, indemnity, liability, intellectual property, and termination clauses within specified boundaries.

• Ability to balance risk, compliance, and business goals.

• Skills in developing or enhancing escalation and decision-making processes.

• Willingness and capacity to travel between Rockwall, Plano, Greenville, and Waco as required.

• Eligibility to obtain and maintain a Secret DoD Clearance.

• Must be a U.S. Citizen.

• Active Secret Clearance is highly preferred.
