Head of Corporate Development

This is a fully remote position, open to applicants in Canada.

📋 Description

• Take ownership of Corel’s acquisition strategy and deal engine.

• Build and oversee the M&A pipeline by identifying consumer, prosumer, and desktop software targets in the US, Canada, and Europe.

• Lead the entire transaction execution process, which includes valuation, financial modeling, drafting IOIs/LOIs, structuring deals, negotiating, signing, and closing.

• Create investment theses and prepare board-ready deal memos, valuation analyses, and market maps.

• Collaborate with the CEO, executive team, and Vector Capital’s investment group.

• Direct cross-functional due diligence involving finance, legal, tax, product, and technology.

• Manage external advisors while ensuring fast-paced processes remain on schedule.

• Foster relationships with bankers, founders, and advisors.

• Work with integration leaders after closing to ensure that deals meet their intended objectives.

• Report directly to the CEO and, in due course, to the CFO.

⛳️ Requirements

• A minimum of 8 years of experience in investment banking, private equity, venture/growth investing, and/or corporate development.

• Familiarity with consumer software and technology.

• Proven experience in deal execution from sourcing to closing.

• Strong financial modeling abilities, including LBO models, merger models, and comparable company analyses.

• A genuine interest in consumer software roll-ups; experience in consumer, prosumer, or desktop software is highly relevant.

• Solid commercial and operational judgment.

• Capable of demonstrating a strong executive presence and the ability to communicate and influence at the C-suite, board, and sponsor level.

• Ability to manage multiple concurrent workstreams effectively.

• Experience in a PE-backed or sponsor-owned environment and executing buy-and-build strategies is advantageous.

• An established network of technology bankers, founders, and advisors in the US and Canadian markets is a plus.
