This is a fully remote position, open to applicants in United States.
• Oversee the management of Skillsoft’s equity plans and awards, which include RSUs, PSUs, stock options, and other awards, from the initial grant setup and participant communication to acceptance, vesting, release, exercise, forfeiture, and termination processing.
• Maintain participant, award, tax, share-pool, and plan information in Equity Edge Online and associated systems.
• Monitor Workday integrations, address exceptions, and reconcile equity activities with approvals and records.
• Organize vesting and release events, which encompass market value validation, tax methodologies and withholding, payroll reporting, transfer-agent instructions, share issuance, and post-event reconciliations.
• Prepare and coordinate compliance activities for public company equity and ownership, including Forms 3 and 4, Section 16 tracking, EDGAR Next administration, S-8 share tracking, and calculations related to equity proxies.
• Implement and document equity-related SOX controls; prepare audit support, periodic reconciliations, and reporting on a monthly, quarterly, and annual basis.
• Collaborate with Legal and Human Resources on award approvals, grant agreements, insider-trading management, blackout and trading-window communications, preclearance requests, stock ownership guideline tracking, and employee communications.
• Prepare and coordinate international equity reporting and filings with local payroll teams and external advisors.
• Ensure accurate tax withholding and reporting across various jurisdictions.
• Manage relationships with equity platform providers, transfer agents, filing providers, and other external advisors.
• Address participant inquiries and create training and reference materials.
• Keep abreast of regulatory and market-practice advancements and propose enhancements for processes, controls, and systems.
• Engage in SEC reporting, governance, and special projects as assigned.
• Over 8 years of experience in stock plan administration.
• Bachelor’s degree in Accounting, Finance, Business, Human Resources, or a related field, or equivalent relevant experience.
• Practical experience with an equity administration platform, such as Equity Edge Online.
• Familiarity with Workday, EDGAR Next, Section 16 filing software, and transfer-agent processes is highly preferred.
• Proficient in Excel and skilled in data reconciliation.
• Capable of managing detailed records, intricate calculations, and competing deadlines with a high level of accuracy.
• Working knowledge of equity compensation, payroll and tax coordination, Section 16 reporting, securities-law compliance, and SOX control requirements.
• Strong judgment, discretion, customer service, and both written and verbal communication skills.
• Self-motivated, highly organized, and effective at collaborating with Legal, Human Resources, Payroll, Tax, Finance, and external service providers.
