This is a fully remote position, open to applicants in Philippines, +4 more countries.
β’ Oversee the global lifecycle of entities, encompassing their establishment and maintenance from market assessment through corporate governance, compliance with statutory requirements, and restructuring efforts.
β’ Lead cross-functional teams spanning legal, finance, and operations, ensuring accountability and delivery at every phase of the process.
β’ Keep leadership, internal teams, and external stakeholders synchronized through progress updates; identify risks and facilitate decision-making.
β’ Oversee tasks such as incorporation, licensing, notarisation, certification, legalisation, employer registrations, licence renewals, statutory filings, and adherence to local regulatory obligations.
β’ Maintain corporate documentation and manage renewals, registrations, filings, changes in directors/shareholders, board and shareholder resolutions, powers of attorney, updates on ultimate beneficial ownership, and requirements for registered offices.
β’ Ensure that entities maintain good standing and transition seamlessly into regular operations.
β’ Contribute to matters involving vendors and corporate legal affairs, including non-disclosure agreements, vendor contracts, banking documents, lease agreements, procurement reviews, contract templates, legal playbooks, and enhancements to legal operations.
β’ 4 to 6 years of experience in company secretarial roles, corporate governance, entity management, or paralegal work, preferably within a corporate service provider, incorporation specialist, or a larger company's corporate affairs or legal department (required).
β’ Direct involvement with corporate records, statutory filings, and drafting board and shareholder resolutions across multiple entities, with the ability to independently draft resolutions rather than merely filing them (required).
β’ Experience in supporting a multi-entity or multinational organization across various jurisdictions (required).
β’ Strong project management skills, capable of keeping multiple workstreams, providers, and stakeholders aligned simultaneously.
β’ Exceptional communication abilities, with credibility among senior leaders and external partners.
β’ Familiarity with the notarisation, certification, and legalisation processes for corporate documentation.
β’ Proactive, detail-oriented, and comfortable in a fully remote, fast-paced scale-up environment.
β’ Proficient in English.
