
Deal Execution Manager – E-Commerce M&A

This is a fully remote position, open to applicants in Germany.
• Oversee the execution of operational deals throughout all stages of the D4U EXIT system.
• Facilitate the optimization process, establish data rooms, conduct investor briefings, negotiate offers, manage LOIs, oversee due diligence, signing, and migration.
• Track interactions among teams to ensure timely resolution of any issues.
• Assist in discussions between clients and buyers.
• Create independent status updates and guide buyer teams through the due diligence process.
• Collaborate as a co-lead with Lucas during the initial year, progressively taking full responsibility for mandates.
• Organize mandates, monitor milestones, and manage backend coordination via Monday and the performance tracker.
• Supervise in-house teams across Finance & Tax, E-Commerce & Operations, Deal Management, and Marketing & PR.
• Utilize tools such as Claude, GPT, n8n, and Make to enhance deal workflow efficiency.
• Prepare and analyze buyer offers.
• Assist in negotiating LOIs and purchase agreements.
• Support buyer management and address objections during the due diligence phase.
• Completed an M&A internship or have initial full-time experience in deal-related roles.
• Basic knowledge of the procedural logic behind LOIs, due diligence, SPAs, APAs, and data rooms.
• A strong inclination towards digital tools and AI.
• Quick adaptability to using Monday, Google Workspace, Loom, the performance tracker, Claude, n8n, and Make.
• Independent utilization of AI for research, content preparation, and workflow automation.
• Proficiency in German at a native level.
• Fluent in English.
• Familiarity with project management tools like Monday, Notion, or Asana.
• Preferred expertise in e-commerce, including Amazon FBA, Shopify, D2C, TACOS/ROAS, Sellerboard, and supply chain mechanics.
• 1–4 years of professional experience in a deal-related setting is preferred.
• Advanced M&A experience with German LOI, SPA, and APA contract structures, coupled with insights into the e-commerce investment landscape is preferred.
• Exceptional self-organization skills and the ability to manage multiple active deals simultaneously.
• Strong dedication to communication, status updates, and proactive escalation.
• Quick comprehension of intricate deal structures and M&A topics.
