Counsel, Senior Counsel

This is a fully remote position, open to applicants in United Kingdom.

📋 Description

• Prepare, assess, and negotiate a substantial number of commercial agreements, including SaaS subscription agreements, MSAs, order forms, DPAs, reseller/channel partner agreements, and vendor/procurement contracts with prospects and customers based in EMEA.

• Negotiate security exhibits initiated by customers, AI terms, IT security policies, and audit/right-to-audit clauses in alignment with the company’s standard security posture, ISO 27001 and SOC 2 Type II certifications, and Trust Center positions.

• Provide guidance on UK GDPR, the Data Protection Act 2018, and cross-border data transfer mechanisms such as the UK IDTA and EU SCCs.

• Collaborate with Sales and Deal Ops to structure and finalize enterprise agreements involving pricing, liability caps, indemnities, service levels, and termination provisions.

• Oversee subcontractor and vendor flow-down obligations and ensure they are consistent with the vendor risk management program.

• Enhance and maintain contract templates, playbooks, fallback positions, and internal negotiation guidelines.

• Assist GTM, Customer Success, DealOps, InfoSec, Finance, and Product stakeholders with contract interpretation, compliance inquiries, and dispute prevention.

• Monitor and report on contracting trends, redline patterns, and recurring challenges to inform updates to templates and policies.

• Support procurement legal issues, including SaaS and cloud vendor agreements, software licensing, and IT services contracts.

• Work collaboratively on process improvements within the department and undertake general legal projects.

⛳️ Requirements

• Qualified solicitor in England & Wales (or an equivalent UK jurisdiction), currently in good standing with the SRA (or relevant regulatory body).

• PQE suitable for the role: typically 3+ years for Commercial Counsel; 7+ years for Senior Commercial Counsel.

• Significant experience in-house or in a law firm specializing in technology/commercial transactions.

• Proven track record in drafting and negotiating SaaS/technology commercial agreements, including MSAs, order forms, DPAs, and vendor contracts.

• Working knowledge of GDPR, UK GDPR, and international data protection frameworks as they relate to commercial contracting.

• Experience in negotiating customer information security requirements, AI terms, data usage rights, audit rights, and vendor risk/security exhibits within a multi-tenant SaaS environment.

• Strong commercial acumen with the ability to independently evaluate and convey risk to non-legal stakeholders.

• Exceptional drafting, negotiation, and communication abilities.

• Capacity to manage a high volume of deal flow while under time constraints.

• Experience participating in cross-functional process improvement initiatives and legal department projects.

• Preferred: background in a high-growth or publicly traded SaaS company, especially with regulated or enterprise clients.

• Preferred: knowledge of export control, sanctions screening, and anti-bribery/anti-corruption regulations.

• Preferred: familiarity with procurement/vendor management procedures and subcontractor flow-down frameworks.

• Preferred: previous experience supporting M&A due diligence or corporate transactions from a commercial contract viewpoint.

• Preferred: understanding of EU data protection law, U.S. privacy legislation such as CCPA, or other multi-jurisdictional privacy frameworks.
